Agreement to Consent. Each Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of such Warrant Holder’s Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement.
Agreement to Consent. Each Public Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of such Public Warrant Holder’s Public Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement, and such Public Warrant Holder shall not withdraw or cause to be withdrawn any such consent; provided, however that such consent may be withdrawn if this Agreement is terminated pursuant to Section 1.06 hereof.
Agreement to Consent. The Landlord has agreed to give consent to the assignment to the Assignee on condition that the Guarantor enters into this guarantee.

The Forward Purchase Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of the Forward Purchase Warrant Holder’s Forward Purchase Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement, and the Forward Purchase Warrant Holder shall not withdraw or cause to be withdrawn any such consent; provided, however that such consent may be withdrawn if this Agreement is terminated pursuant to Section 1.07 hereof.
Agreement to Consent. Each Warrant Holder shall deliver to the Company its timely consent with respect to the Consent Solicitation with respect to all of such Warrant Holder’s Subject Warrants, as applicable, by executing Letters of Transmittal and Consent (as defined in the Registration Statement) or requesting that their broker or nominee consent on their behalf, in accordance with the terms and conditions of the Consent Solicitation as described in the Registration Statement, and notwithstanding anything contrary in the Registration Statement, such Warrant Holder shall not withdraw or cause to be withdrawn such consent.
Agreement to Consent. Each IPO Warrant Holder shall deliver to the Company its timely consent with respect to the Solicitation with respect to all of such IPO Warrant Holder’s IPO Warrants in accordance with the terms and conditions of the Solicitation as described in the Registration Statement.
Agreement to Consent. (a) Each Shareholder hereby agrees to execute a written consent in lieu of a special meeting of the Shareholders which will set forth such Shareholder's approval and adoption of this Agreement and the Merger.
(b) From the date of this Agreement until the earlier of the Effective Time or the termination of this Agreement in accordance with the terms hereof, each Shareholder hereby agrees that the Shareholders shall collectively continue to own a number and kind of shares of Company Capital Stock having the right to cast a majority of the votes of the outstanding capital stock of the Company entitled to vote on this Agreement and the Merger and any other proposals.
(c) To the extent inconsistent with the foregoing provisions of this Section 9.13, each Shareholder hereby revokes any and all previous proxies with respect to such Shareholder's shares of Company Capital Stock.
Agreement to Consent. Each Holder hereby agrees that, by 11:59 p.m. Eastern Time on February 22, 2021, such Holder shall execute and deliver to the Company a duly executed counterpart of the Company Shareholder Approval (in the form attached hereto as Annex II). Each Holder further agrees that, following the delivery of its counterpart of the Company Shareholder Approval, such Holder will not take any action to withdraw, modify, revoke or otherwise challenge the effectiveness of the Company Shareholder Approval.
Agreement to Consent. Promptly following commencement of the Solicitation, Plainfield will Consent (and shall cause its nominee to Consent) to the Proposed Amendment and Waiver with respect to the Plainfield Notes and any Additional Notes (defined below) in accordance with the consent solicitation statement and the related consent form to be prepared by the Company in connection with the Solicitation, each as may be amended and supplemented from time to time, and not revoke such Consent.
