Subject Warrants definition

Subject Warrants means that number of Company Warrants set forth on the Shareholder’s signature page attached to this Agreement, being all of the Company Warrants owned legally or beneficially by the Shareholder or over which the Shareholder exercises control or direction.
Subject Warrants means that number of Warrants set forth on the Securityholder’s signature page attached to this Agreement, being all of the Warrants owned legally or beneficially by the Securityholder or over which the Securityholder exercises control or direction, in each case, either directly or indirectly.
Subject Warrants means that number of Warrants set forth on Schedule “A” attached to this Agreement, being all of the Warrants owned legally and/or beneficially, either directly or indirectly, by the Member or over which the Member exercises control or direction, either directly or indirectly, and shall further include any purchase warrants otherwise acquired by the Member after the date hereof.

Examples of Subject Warrants in a sentence

  • Except as set forth in this Agreement, the Holder is not a party to any voting trust, proxy or other agreement or understanding with respect to the voting of the Subject Warrants and the Holder has sole voting power and sole dispositive power with respect to all Subject Warrants, with no restrictions on the Holder’s rights of voting or disposition pertaining thereto and no Person other than the Holder has any right to direct or approve the voting or disposition of any of the Subject Warrants.

  • Except for this Agreement, the Holder is not party to any option, warrant, purchase right, or other contract or commitment that could require the Holder to sell, transfer, or otherwise dispose of the Subject Warrants.

More Definitions of Subject Warrants

Subject Warrants is defined in the Recitals.
Subject Warrants means all Reunion Gold Warrants which the Reunion Gold Securityholder owns, beneficially or of record, directly or indirectly, or exercises control or direction over, the particulars of which are set forth in Schedule A; and
Subject Warrants means all GMIN Warrants which the GMIN Securityholder owns, beneficially or on record, directly or indirectly, or exercises control or direction over, the particulars of which are set forth in Schedule A; and
Subject Warrants means that number of Warrants set forth in Schedule A, being all of the Warrants owned legally or beneficially by the Securityholder or over which the Securityholder exercises control or direction.
Subject Warrants means each Warrant, whether owned as of the Effective Date or acquired thereafter, by the Purchaser, any Affiliate of the Purchaser, any member of the Purchaser’s Family, or any Related Trust; provided, that any Warrant that is or becomes a Subject Warrant shall continue to be a Subject Warrant in the hands of any subsequent transferee or assignee thereof.
Subject Warrants means all Company Warrants which the Company Securityholder owns, beneficially or of record, directly or indirectly or exercises control or direction over, particulars of which are set forth on Schedule A to this Agreement.
Subject Warrants means the Warrant and the Second Warrant and the “Exercise Price” shall have the meaning set forth in the Subject Warrants.
