Common use of Allocation of Licenses to Affiliates Clause in Contracts

Allocation of Licenses to Affiliates. Unless prohibited under the applicable License Document, the Licensee may allocate Software Licenses to its Affiliates, provided: (a) the Licensee remains responsible for the Affiliate’s compliance with the License Documents; and (b) the Licensee is liable for any breach of the License Documents by an Affiliate.

Allocation of Licenses to Affiliates. Unless prohibited under the applicable License Document, the Licensee may allocate Software Licenses to its Affiliates, provided: (a) the Licensee remains responsible for the Affiliate’s compliance with the License Documents; and (b) the Licensee is liable and indemnifies OT for any breach of the License Documents by an Affiliate.

Unless prohibited under the applicable License DocumentModel, the Licensee may allocate Software Licenses granted under this XXXX to its Affiliates, provided: (a) provided that the Licensee remains responsible for to ensure that the Affiliate’s use of the Software by an Affiliate is in full compliance with this XXXX (including the Applicable License Documents; Model Schedule and (bthe applicable Order Document) and the Licensee is liable for any breach of the License Documents XXXX by an Affiliate.
