Allocation to ESOP Stock Accounts. As of the last day of each Plan Year, all shares of Company Stock transferred by the Employers to the Trustee for that Plan Year and shares of Company Stock released from the Suspense Account during that period shall be allocated among and credited to the ESOP Stock Accounts of Participants who were employed during the Plan Year, pro rata, according to their Compensation (as defined in Section 5.7) paid to them, by the Employers for that Plan Year. For purposes of determining the number of shares of Company Stock allocated to Participants with respect to 1999, (i) compensation paid to Participants prior to the Effective Date shall not be counted toward a Participant’s pro rata share and (ii) no shares of Common Stock shall be allocated among and credited with respect to those Participants who terminate employment with the Company, for any reason, on or before August 15, 1999. Participants described in the foregoing clause (ii) shall be disregarded in determining the number of shares of Common Stock to be allocated among, and credited with respect to, all other Participants for 1999.

  • Deferral Account 3.1 Establishing and Crediting. The Company shall establish a Deferral Account on its books for the Director, and shall credit to the Deferral Account the following amounts:

  • Cash Account Except as otherwise provided in Instructions acceptable to Bank, all cash held in the Cash Account shall be deposited during the period it is credited to the Account in one or more deposit accounts at Bank or at Bank's London Branch. Any cash so deposited with Bank's London Branch shall be payable exclusively by Bank's London Branch in the applicable currency, subject to compliance with any Applicable Law, including, without limitation, any restrictions on transactions in the applicable currency imposed by the country of the applicable currency.

  • Employer Contributions If Employer contributions are permitted, complete (a) and/or (b). Otherwise complete (c).

  • Deferred Compensation Account All Participant Deferral Credits and Employer Credits shall be credited to the Deferred Compensation Account of the Participant as provided in Section 8.

  • Qualified Matching Contributions If selected below, the Employer may make Qualified Matching Contributions for each Plan Year (select all those applicable):

  • Forfeiture Allocations Upon a forfeiture of any Unvested LTIP Units or Unvested Performance Units by any Partner, gross items of income, gain, loss or deduction shall be allocated to such Partner if and to the extent required by final Regulations promulgated after the Effective Date to ensure that allocations made with respect to all unvested Partnership Interests are recognized under Code Section 704(b).

  • Matching Contributions The Employer will make matching contributions in accordance with the formula(s) elected in Part II of this Adoption Agreement Section 3.01.

  • FORFEITURE ALLOCATION Subject to any restoration allocation required under Sections 5.04 or 9.14, the Advisory Committee will allocate a Participant forfeiture in accordance with Section 3.04: (Choose (a) or (b); (c) and (d) are optional in addition to (a) or (b))

  • Cash Accounts The Custodian will open and maintain in the name of the Client one or more cash deposit accounts (each a “Cash Account”) in such currencies as may be required in connection with the investment activity of the Client.

  • Creation of Escrow Account/Common Stock Account a.
