Allocations and Distributions with Respect to Membership Interests Transferred. If a Membership Interest is Transferred, there shall be allocated to each Member who held the transferred Membership Interest during the fiscal year of transfer the product of (a) the Net Income or Net Loss allocable to such Transferred Interest for such fiscal year and (b) a fraction, the numerator of which is the number of days such Member held the transferred Membership Interest during such fiscal year and the denominator of which is the total number of days in such fiscal year; provided, however, that the Managing Members may, in their sole discretion, allocate the Net Income or Net Loss by closing the Company’s books immediately after the transfer of any Membership Interest. Either allocation shall be made without regard to the date, amount or recipient of any distributions that may have been made with respect to such transferred Membership Interest

  • Allocations and Distributions The LLC's profits and losses shall be allocated to the Member. At the time determined by a majority of the Managers, the Managers may cause the LLC to distribute to the Member any cash held by it which is neither reasonably necessary for the operation of the LLC nor the performance of its contractual obligations, nor which is in violation of Sections 18-607 or 18-804 of the Act or any contractual agreement binding on the LLC.

  • Capital Contributions and Distributions The Member may make such capital contributions (each a “Capital Contribution”) in such amounts and at such times as the Member shall determine.   • Balance Transfers We may permit you to transfer balances and obligations that you owe other companies or financial institutions to your Account, subject to the terms and conditions disclosed in the Offer Materials (“Balance Transfers”). Balance Transfers will post to your Account and be separately reflected on monthly Account statements as a Balance Transfer, or, depending upon the offer, may post to the Account and be treated as a Purchase or an Advance. We will, in connection with any Balance Transfer offer we make, provide you with materials that explain how the Balance Transfer will post to your Account and be reflected on monthly Account statements. You may not request Balance Transfers on existing obligations you owe us or our affiliates. If you request a Balance Transfer that would cause your Account to exceed its Revolve Limit, we may, at our option, (a) post the entire Balance Transfer requested to your Account; (b) post only a portion of the Balance Transfer requested to your Account up to the amount of credit available under the Revolve Limit; or (c) refuse to process the entire amount of the Balance Transfer requested.

  • IN-KIND DISTRIBUTIONS Subject to Section 00-00-000 of the Act, the Company may make in-kind distributions of the Company assets, provided the Members unanimously agree and such agreement is in writing. The fair market value of the property must be determined and agreed upon by the Members before the distribution is made. The receiving Member’s capital account shall be adjusted to reflect the value of the in-kind distribution.
