Common use of Alteration of Duties Clause in Contracts

Alteration of Duties. If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x authority or duties so as to effectively prevent him from performing the duties of the Executive Vice President of Finance and Chief Financial Officer as defined in this Agreement, or requires that his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxxxx may, at his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider himself terminated without cause and entitled to the benefits set forth in Section 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxxxx’x duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive OfficerOfficer of the Corporation, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x Executive’s authority or duties so as to effectively prevent him from performing the duties of the Executive Vice President of Finance and Chief Financial Supply Chain Officer as defined in this Agreement, or requires that his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present corporate headquarters of the Corporation office located in Parsippany, New Jersey, then Xxxxxxxx Executive may, at his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider himself terminated without cause and entitled to the benefits set forth in Section 7(aParagraph 8(a), unless within thirty (30) days after delivery of such notice, Xxxxxxxx’x Executive’s duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive OfficerOfficer of the Corporation, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x Executive’s authority or duties so as to effectively prevent him her from performing the duties of the Executive Vice President of Finance and Chief Financial Customer Officer as defined in this Agreement, or requires that his her office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present corporate headquarters of the Corporation office located in Parsippany, New Jersey, then Xxxxxxxx Executive may, at his her option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider himself herself terminated without cause and entitled to the benefits set forth in Section 7(aParagraph 8(a), unless within thirty (30) days after delivery of such notice, Xxxxxxxx’x Executive’s duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x Xxxxx’x authority or duties so as to effectively prevent him from performing the duties of the Executive Vice President of Finance and Chief Financial Officer Manufacturing as defined in this Agreement, or requires that his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxxxx Xxxxx may, at his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider himself terminated without cause and entitled to the benefits set forth in Section 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxxxx’x Xxxxx’x duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x Xxxxxxxxx’x authority or duties so as to effectively prevent him from performing the duties of the Executive Vice President of Finance and Chief Financial Officer Marketing as defined in this Agreement, or requires that his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office offices located in Parsippany, New Jersey, then Xxxxxxxx Xxxxxxxxx may, at his option and upon written notice to the Board of Directors and the Chief Executive Officer within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider himself terminated without cause and entitled to the benefits set forth in Section subparagraph 7(a), unless within thirty fifteen (3015) days after delivery of such notice, Xxxxxxxx’x Xxxxxxxxx’x duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x Xxxxxx'x authority or duties so as to effectively prevent him from performing the duties of the Executive Vice President of Finance Quality Assurance and Chief Financial Officer Research & Development as defined in this Agreement, or requires that his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxxxx Xxxxxx may, at his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s 's or Chief Executive Officer’s 's action, consider himself terminated without cause and entitled to the benefits set forth in Section Paragraph 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxxxx’x Xxxxxx'x duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxxxx’x Xxxxx’x authority or duties so as to effectively prevent him from performing the duties of the Executive Vice President of Finance and Chief Financial Officer Sales as defined in this Agreement, or requires that his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office offices located in Parsippany, New Jersey, then Xxxxxxxx Xxxxx may, at his option and upon written notice to the Board of Directors and the Chief Executive Officer within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider himself terminated without cause and entitled to the benefits set forth in Section subparagraph 7(a), unless within thirty fifteen (3015) days after delivery of such notice, Xxxxxxxx’x Xxxxx’x duties have been restored.
