Amendment of performance criteria. 7.3.1 The Supervisory Board may amend new grants or conditional grants of variable remuneration based on quantified performance criteria relating to the level of remuneration paid in previous years, if, in the Supervisory Board’s opinion and in light of the remuneration policy determined by the general meeting of the Company, it would be unfair to grant unaltered or unaltered conditional variable remuneration. 7.3.2 The Supervisory Board may also amend current (conditional) grants of variable remuneration based on quantified performance criteria if, in the Supervisory Board’s opinion, not amending them would lead to unintended results or be unacceptable according to principles of reasonableness and fairness.
