Amendment to Certificate of Formation. Without the affirmative vote of each member of the Manager's Board of Directors, including, without limitation, the affirmative vote of the Independent Directors of the Manager, and prior notice to Xxxxx'x Investors Service, Inc. and Standard & Poor's Rating Services, the Company shall not amend either this Agreement or the Company's Certificate of Formation, as amended or restated from time to time.
