Amendment to the Employment Agreement. The Employment Agreement Section 3 – Remuneration is amended as follows:
(1) Commencing January 1, 2021, Oncolytics shall pay to the Employee a salary of FOUR HUNDRED SEVENTY-THREE THOUSAND EIGHT HUNDRED ($473,800.00) CANADIAN DOLLARS per annum, exclusive of bonuses, benefits and other compensation, payable in equal installments of NINETEEN THOUSAND SEVEN HUNDRED FORTY-ONE DOLLARS and SIXTY-SEVEN CENTS ($19,741.67) on the 15th and last day of each month.
Amendment to the Employment Agreement. The Employment Agreement is hereby amended by adding the following to the definition of “Good Reason” set forth in Section 4.4: “a material, adverse change in Executive’s title, authority, duties, or responsibilities (other than temporarily while the Executive is physically or mentally incapacitated or as required by applicable law), provided that this shall not apply following an acquisition of or merger by the Company if Executive is provided with similar title, responsibilities, duties and authority in a larger organization, but only with respect to the business of the Company and its subsidiaries;”
Amendment to the Employment Agreement. Section 2 of the Employment Agreement is hereby deleted in its entirety and replaced with the following:

(a) The second sentence of Section 2(b) of the Employment Agreement is hereby amended and restated in its entirety to read as follows: “Executive’s annual incentive compensation under such incentive program (the “Annual Bonus”) shall be targeted at 40% of Executive’s Annual Base Salary.”
