Amendment to the Underlying Agreement in part, of the Executive's recent determination to resign as an executive officer and director of the Company, while at the same continuing to provide to the Company various corporate development and financing services which the Executive has heretofore provided to the Company within the scope of the Underlying Agreement, the Parties hereto hereby acknowledge and agree that the following provisions of the Underlying Agreement are hereby either altered or deleted with the following provisions of this Agreement being substituted therefore:
