Common use of Amendments to Investment Guidelines and Operating Policies Clause in Contracts

Amendments to Investment Guidelines and Operating Policies. Notwithstanding Section 11.17(n), if at any time a government or regulatory authority having jurisdiction over the Partnership or any property of the Partnership shall enact any law, regulation or requirement which is in conflict with any investment guideline of the Partnership then in force (other than the restriction on making any investments, taking action or omitting to take any action that would result in Units not being a “qualified investment” for investment by Plans), such guideline in conflict shall, if the directors on the advice of legal counsel to the Partnership GP so resolve, be deemed to have been amended to the extent necessary to resolve any such conflict and, notwithstanding anything to the contrary herein contained, any such resolution of the Partnership GP shall not require the prior approval of Limited Partners.
