Amendments to Schedules and Exhibits. (a) Schedule 2.01 of the Bridge Loan Agreement is amended by deleting such schedule and replacing with the schedule attached hereto as Schedule A.
(b) Exhibit A to the Bridge Loan Agreement shall be replaced with the exhibit set forth as Annex B hereto.
(c) The document attached as Annex C hereto shall be added to the Bridge Loan Agreement as Exhibit A-2.
(d) Exhibit B to the Bridge Loan Agreement shall be replaced with the document set forth as Annex D hereto.
(e) Exhibit D to the Bridge Loan Agreement shall be replaced with the exhibit set forth as Annex E hereto.
(f) Exhibit F to the Bridge Loan Agreement shall be replaced with the exhibit set forth as Annex F hereto.
Amendments to Schedules and Exhibits. EXHIBIT A to the Rights Agreement shall be amended to add the Additional Purchasers to such EXHIBIT A. Exhibit A (“Schedule of Purchasers”) to the Purchase Agreement shall be amended and supplemented to include the Additional Purchasers and the Shares being purchased by the Additional Purchasers and the Purchasers in this Additional Closing and the Series C-1 Preferred Stock being purchased in the Series C-1 Closing as set forth on Schedule 1 attached hereto.
Amendments to Schedules and Exhibits. To evidence the Parties’ agreement to each adjusted Minimum Pipeline Revenue Commitment, tariff rate, Volume Incentive Tariff, Tankage Revenue Commitment, or Roswell Terminal Payment, the Parties may, but shall not be required to execute an amended, modified, revised or updated Schedule or Exhibit, as applicable and attach it to this Agreement. Such amended, modified, revised or updated Schedule or Exhibit shall be sequentially numbered (e.g. Schedule I-1, Schedule I-2, etc.), dated and appended as an additional schedule or exhibit to this Agreement and shall replace the prior version of the Schedule or Exhibit in its entirety after its date of effectiveness, except as specified therein.
Amendments to Schedules and Exhibits. From and after the Amendment Effective Date, those certain Schedules and Exhibits attached as Annex B to this Amendment shall replace the corresponding Schedules and Exhibits to the Credit Agreement to reflect amendments pursuant to this Amendment and amendments to the Credit Agreement prior to the date hereof. All other Schedules and Exhibits to the Credit Agreement shall not be modified or otherwise affected.
Amendments to Schedules and Exhibits of the Loan Agreement.
(a) The Loan Agreement is hereby amended by deleting Schedule l in its entirety and replacing it with Schedule 1, attached to this Amendment.
(b) The Loan Agreement is hereby amended by deleting Schedule 7(l) in its entirety and replacing it with Schedule 7(l), attached to this Amendment.
(c) The Loan Agreement is hereby amended by deleting Exhibit A, Form of Borrowing Base Report, in its entirety and replacing it with Exhibit A, attached to this Amendment.
Amendments to Schedules and Exhibits. (a) Deletion of Certain Schedules. Schedule 4.15 (Subsidiaries), Schedule 7.2(c) (Existing Indebtedness), Schedule 7.3(c) (Existing Liens) and Schedule 7.8(e) (Existing Investments) are hereby deleted from the Credit Agreement.
Amendments to Schedules and Exhibits. (a) Amendment to Schedule 6.7. Annex 6.7A of Schedule 6.7 is hereby amended in its entirety with a new Annex 6.7A in the form attached hereto as Exhibit A.
(b) Amendment to Schedule 6.8. Schedule 6.8 is hereby amended by adding a new item 198 at the end thereof as follows: “198. Xxxx of Sale and Agreement dated as of February 25, 2005, between Calpine Construction Management Company, Inc., as Seller, and Calpine Steamboat Holdings, LLC, as Purchaser, relating to two certain gas turbine generators, accessories thereto, and performance data sheets, diagrams, control system configuration documentation and similar related documentation regarding such gas turbine generators.”.
Amendments to Schedules and Exhibits. (i) Schedule 1.2 of the Credit Agreement is hereby amended to state in its entirety as set forth on Schedule 1.2 attached hereto
(ii) Schedule 11.6 of the Credit Agreement is hereby amended to state in its entirety as set forth on Schedule 11.6 attached hereto.
(iii) Schedule 13.3 of the Credit Agreement is hereby deleted.
(iv) Exhibit F of the Credit Agreement is hereby amended to read in its entirety as provided in Exhibit F hereto.
Amendments to Schedules and Exhibits a. Schedule 1.1 (Lenders and Commitments) to the Existing Credit Agreement is hereby deleted in its entirety and as new Schedule 1.1 in the form annexed hereto substituted in its stead.
b. Exhibit E (Form of Notice of Borrowing) to the Existing Credit Agreement is hereby deleted in its entirety and as new Exhibit E in the form annexed hereto substituted in its stead.
c. Exhibit C (Form of Borrowing Base Certificate) to the Existing Credit Agreement is hereby deleted in its entirety and as new Exhibit C in the form annexed hereto substituted in its stead.
Amendments to Schedules and Exhibits. From and after the Fifth Amendment Effective Date, those certain Schedules and Exhibits attached as Annex B to this Amendment shall replace the corresponding Schedules and Exhibits to the Credit Agreement to reflect amendments pursuant to this Amendment. All other Schedules and Exhibits to the Credit Agreement shall not be modified or otherwise affected.
