Annual Report and Performance Audit. The ISO shall prepare and submit to NEPOOL an annual report on its performance under this Agreement and cooperate in the conduct of a periodic audit of its performance. The audit shall be conducted by an independent third party to be chosen by mutual agreement of the Parties, and shall be conducted at such intervals as shall be determined by the NEPOOL Executive Committee, but no more frequently than every three years unless a specified issue has been identified for audit by the NEPOOL Executive Committee.

Annual Report and Performance Audit. On or prior to the date that ----------------------------------- is forty-five (45) days following the end of each calendar year during the Term of the Strategic Alliance, the Management Committee shall prepare and deliver to the Parties an annual report and performance audit (the "Annual Report") with ------------- respect to the immediately preceding year. The Annual Report shall summarize the performance of the Parties under the Strategic Alliance during the immediately preceding year against the Performance Goals.

  • PAYMENT AND PERFORMANCE OF LIABILITIES The Borrowers shall pay each payment Liability when due (or when demanded, if payable on demand) and shall promptly, punctually, and faithfully perform each other Liability.
