Application and Negotiation for Planning Permission. 2.1. In the event that it has not done so prior to the date of this agreement the Landlord will submit a Planning Application (which has been approved in writing by the Tenant prior to submission) and shall use reasonable endeavours to procure the satisfaction of the Planning Condition as soon as reasonably practicable after the date of this agreement and will keep the Tenant fully advised of the progress of the Planning Application. 2.2. The Landlord may, subject to obtaining prior consent from the Tenant (such consent not be unreasonably withheld or delayed and to be deemed to be provided if no written notice is served confirming otherwise within 10 Working Days of receipt of the written request) amend the Planning Application and/or withdraw and resubmit in order to procure the satisfaction of the Planning Condition provided that the Tenant shall not object to any amendments and/or withdrawals or resubmissions unless such amendments withdrawals or resubmissions would: 2.2.1. have an unreasonable adverse effect on or is unduly restrictive of the Tenant’s use and occupation of the Development as supported/assisted living accommodation; and/or 2.2.2. in the Tenant's opinion (acting reasonably) make the Development unsuitable for the original client group intended to occupy the Development once completed; and/or 2.2.3. limit the use of the Property to anything other than either C3 residential with supported/assisted living facilities or C3 residential. 2.3. The Tenant agrees at the Landlord's reasonable and proper cost: 2.3.1. to provide the Landlord with all reasonable assistance as the Landlord shall reasonably request in its application for the grant of Planning Permission; 2.3.2. to co-operate with the Landlord with regard to the Planning Application, Planning Appeal and any withdrawing and resubmitting of the same required by the Landlord. 2.4. The Landlord shall use all reasonable endeavours to procure the satisfaction of the Planning Condition as soon as reasonably practicable after the date hereof and to that end: 2. 4.1. shall diligently enforce the obligations of the Church contained in the Sale and Purchase Agreement;

  • New Application for Licensure Any time after the three-month period has lapsed from the Effective Date of this Agreement and Respondent has paid the Administrative Penalty set forth in Section III, Paragraph 1 of this Order, Respondent may apply for a new mortgage loan originator license or, as applicable, petition for the reinstatement of an MLO Activity Endorsement in any or all of the Participating States with the understanding that each State Mortgage Regulator reserves the rights to fully investigate such application for licensure or petition for reinstatement of an MLO Activity Endorsement and may either approve or deny such application or petition pursuant to the normal process for such licensing or endorsement investigations. No license application or petition described in this paragraph will be denied solely based on the facts, circumstances, or consensual resolution provided for in this Agreement. Respondent further agrees that Respondent must satisfy the Administrative Penalty provision prior to submitting an application for a new mortgage loan originator license or, as applicable, petition for the reinstatement of an MLO Activity Endorsement.

  • Maintenance of Approvals: Filings, Etc The Fund shall at all times maintain in effect, renew and comply with all the terms and conditions of all consents, filings, licenses, approvals and authorizations as may be necessary under any applicable law or regulation for its execution, delivery and performance of this Agreement and the other Related Documents to which it is a party.

  • Application for approval 3.1. The application for approval of a vehicle type with regard to the AEBS shall be submitted by the vehicle manufacturer or by his authorised representative. 3.2. It shall be accompanied by the documents mentioned below in triplicate: 3.2.1. A description of the vehicle type with regard to the items mentioned in paragraph 2.4., together with a documentation package which gives access to the basic design of the AEBS and the means by which it is linked to other vehicle systems or by which it directly controls output variables. The numbers and/or symbols identifying the vehicle type shall be specified. 3.3. A vehicle representative of the vehicle type to be approved shall be submitted to the Technical Service conducting the approval tests.

  • Application of Agreement 4.1 This Agreement applies to: (a) Xxxxx Fabrications Pty Ltd (the Employer) (b) the CFMEU (the Union) (c) all Employees of the Employer engaged in construction work and for whom classifications and rates of pay are provided by this Agreement (the Employee).   • PROCEDURE FOR NOTIFICATION AND APPLICATION FOR INDEMNIFICATION (a) Indemnitee agrees to notify promptly the Company in writing upon being served with any summons, citation, subpoena, complaint, indictment, information or other document relating to any Proceeding, claim, issue or matter therein which may be subject to indemnification, hold harmless or exoneration rights, or advancement of Expenses covered hereunder. The failure of Indemnitee to so notify the Company shall not relieve the Company of any obligation which it may have to Indemnitee under this Agreement, or otherwise. (b) Indemnitee may deliver to the Company a written application to indemnify, hold harmless or exonerate Indemnitee in accordance with this Agreement. Such application(s) may be delivered from time to time and at such time(s) as Indemnitee deems appropriate in his or her sole discretion. Following such a written application for indemnification by Indemnitee, Indemnitee’s entitlement to indemnification shall be determined according to Section 12(a) of this Agreement.

  • General Application The rules set forth below in this Article VI shall apply for the purposes of determining each Member’s allocable share of the items of income, gain, loss and expense of the Company comprising Net Income or Net Loss for each Fiscal Year, determining special allocations of other items of income, gain, loss and expense, and adjusting the balance of each Member’s Capital Account to reflect the aforementioned general and special allocations.   • Territorial application This Agreement shall apply, on the one hand, to the territories in which the Treaty establishing the European Community is applied, and under the conditions laid down in that Treaty and, on the other hand, to the territory of the United States.
