Project Management Fee. As compensation for the Services to be rendered by Project Manager pursuant to this Agreement, including all attachments and exhibits, County shall pay to Project Manager a Project Management Fee in an amount not to exceed
Project Management Fee. In addition to the compensation paid to Manager under Section 4.A above, Owner shall pay to Manager, with respect to any tenant or capital improvements, a separate fee in an amount equal to five percent (5%) of all hard and soft costs and expenses actually paid or incurred in connection with the construction and installation of such improvements. As to each project, the fee shall be due and payable upon completion.
Project Management Fee. A project management fee equal to thirty-five percent (35%) of the project cost shall be charged when Agent coordinates and/or oversees maintenance, construction, or improvement projects on the property in excess of $5,000.
Project Management Fee. (a) In full consideration and compensation for the Services to be performed by the Project Manager hereunder, during the Term, the Company shall pay to the Project Manager a Project management fee (the “Project Management Fee”) of six percent (6%) of all net income derived from the Project. The Project Management Fee shall be calculated and paid pursuant to the Schedule E.
(b) The Project Manager will cease to receive and relinquish the Project Management Fee upon the closing of its exercise of the Option set forth in the Option Agreement. All payments hereunder shall be made in US Dollars converted from Paraguayan Guarani, as applicable, at the rate established by the Central Bank of Paraguay at the time of payment and shall be earned by or made to the Project Manager, unless otherwise instructed, at least three (3) Business Days prior to the due date of the payment.
Project Management Fee. In consideration for Licensor’s performance of its obligations pursuant to the Development Plan, BioLine shall pay Licensor a project management fee (the “Project Management Fee”) as follows:
6.1.1. For the initial 12 month period commencing as of the Execution Date, BioLine shall pay Licensor the amount of US $100,000 per month.
6.1.2. Following the aforementioned 12 month period, and continuing until the earlier of (i) the completion of the Contemplated Clinical Trials or (ii) the grant of a Sublicense hereunder, BioLine shall pay Licensor:
(a) The amount of $65,000 per month, for a subsequent period of 12 months;
(b) Following such subsequent 12 month period and for a period of 6 months, an amount of $60,000 per month; and
(c) Following such 6 month period, an amount of $50,000 per month. In the event that both Contemplated Clinical Trials are completed within the applicable Clinical Trial Period as defined in this section, BioLine shall make a one-time payment to Licensor in the amount of $250,000. "Clinical Trial Period" means either (i) 24 months from the Execution Date; or (ii) in the event BioLine contracts or otherwise arranges for the manufacture of the Drug through any party other than Licensor or Novetide, Ltd. (including BioLine itself or any of its Affiliates), a period of 28 months from the Execution Date.
Project Management Fee. PCSD’s fee for the Services will be SIX HUNDRED THOUSAND Dollars ($624,000) (the “Project Management Fee”) subject to adjustment as set forth in Section 1.3. The Project Management Fee will be billed on an equal monthly basis for Twenty-four (24) months (that is, Twenty-Six Thousand Dollars ($26,000 per month)). If the Project is completed in less than Twenty-Four (24) months, PCSD reserves the right to xxxx the balance of the Project Management Fee that remains unpaid immediately upon final Project completion. Each invoice will be due within fifteen (15) business days after receipt. A late fee of TEN PERCENT (10%) per annum or the maximum allowed by law, whichever is less, shall be due and payable for any invoices not paid within the aforementioned period.
Project Management Fee. 25.1. Subject to clause 25.1.3, three-twelfths (3/12) of the Project Management Fee shall be paid by the Landlord to the Tenant over the period from the date of exchange of the Sale and Purchase Agreement up to and including the Unconditional Date in three equal instalments as follows:
25.1.1. the first payment shall be made by the Landlord to the Tenant within 5 business days of the date of exchange of the Sale and Purchase Agreement;
25.1.2. the two subsequent payments shall be made by the Landlord to the Tenant on the first day of each of the subsequent calendar months after the payment made under clause 25.1.1;
25.1.3. once the Landlord has complied with its obligations under clause 25.1.1 and 25.1.2 it shall have no obligation to pay the Tenant any further sums in respect of the Project Management Fee until such time as the Unconditional Date has occurred;
25.1.4. in the event that the Unconditional Date occurs before each of the instalments have been paid in accordance with clause 25.1.1 and 25.1.2 the balance of the first 3/12 of the Project Management Fee shall be paid by the Landlord to the Tenant on the Unconditional Date.
25.2. Subject to the Unconditional Date having occurred the Landlord shall pay to the Tenant a further;
25.2.1. Up to seven-twelfths (7/12) of the Project Management Fee by equal monthly instalments on the first day of each calendar month after the commencement of the Building Works throughout the Anticipated Build Period; and
25.2.2. The balance of the Project Management Fee on the Completion Date;
25.3. The Landlord shall give written notice to the Tenant of exchange of the Sale and Purchase Agreement immediately after such exchange. In witness whereof the parties have executed this agreement as a Deed and delivered it on the date first above written
Project Management Fee. As compensation for the services to be rendered by Project Manager pursuant to this Agreement, Owner shall pay to Project Manager a Project Management Fee in the amount of twenty-thousand dollars ($20,000.00). If the scope of the Project, the nature of the services required of Project Manager hereunder, or the time period for which services are required of Project Manager hereunder increase, then the Project Management Fee shall be equitably increased to reflect the same; provided, however, that the Project Management Fee shall not be increased based on any of the foregoing considerations without the express written agreement of Owner and Project Manager; and provided further, however, that Project Manager shall not be obligated to perform any increased scope of services or perform services for any period of time greater than that anticipated hereunder unless and until Owner shall have agreed to such equitable increase in the Project Management Fee.
Project Management Fee. As consideration for Landlord performing the Tenant's Improvement Work, Tenant shall pay to Landlord a fee (the “Project Management Fee”) equal to 2.5% of all Hard Costs incurred in connection with the Tenant Improvement Work. The Project Management Fee shall be paid by Tenant to Landlord monthly, pro rata, as Hard Costs are incurred for the Tenant Improvement Work.
Project Management Fee. At or prior to the Closing, VivoPower USA, LLC (“Vivo USA”) and AWN shall enter into a Fee and Loan Agreement, in the form of Exhibit 6.25 hereto, providing that, in consideration for the project management and ancillary services that AWN has and will continue to provide to Vivo USA and its related entities in relation to and as preparation for the Transactions, Vivo USA will pay AWN a fee of $5,800,000, and AWN will loan Vivo USA $5,800,000 to pay such fee, on the terms and subject to the conditions set forth therein.
