Application of Transfer Restrictions. The provisions of this Section 10.5 shall only apply to the portion of the Transfers in which:
(i) the Company and ROFO Rightholders have not exercised their rights under Section 10.3 to purchase all of the Offered Units; and
(ii) the Company has elected to not exercise its drag-along right under Section 10.4 (if applicable).
Application of Transfer Restrictions. The provisions of this Section 9.06 shall only apply to Transfers pursuant to Section 9.05 and other Transfers in which:
(i) No ROFR Rightholder has exercised its right under Section 9.03 or Section 9.05 to purchase the Offered Interests; and
(ii) The Dragging Member has elected to not exercise its drag-along right under Section 9.04; and
Application of Transfer Restrictions. The provisions of this Section 3.5 shall not apply to Transfers in which the Dragging Stockholders have elected to exercise their drag-along right under Section 3.4.
Application of Transfer Restrictions. This Section 9.04 shall only apply to transfers in which (i) the Dragging Member has elected not to exercise its drag-along right under Section 9.03 or (ii) the Transfer is not a permitted transfer under Section 9.02.
Application of Transfer Restrictions. The provisions of this Section 6.04 shall only apply to Transfers in which the Dragging Member has elected to not exercise its drag-along right under Section 6.03.
Application of Transfer Restrictions. The provisions of this Section 10.05 shall only apply to Transfers in which no ROFR Rightholder has exercised such ROFR Rightholder’s rights under Section 10.03 to purchase all of the Offered Units.
Application of Transfer Restrictions. The provisions of this Section 10.5 shall only apply to Transfers in or to which (i) which Grom has not exercised their rights under Section 10.3 to purchase the Offered Interests; (ii) the Dragging Member has elected to not exercise its drag-along right under Section 10.4; or (iii) Section 10.2, 10.6 or 10.7 applies.
Application of Transfer Restrictions. The provisions of this Section X.5 shall only apply to Transfers in which the Company and Applicable ROFR Rightholders have not exercised their rights in full under Section X.3 to purchase all of the Offered Units; and
