Appointment of Fiscal Agent; Duties, Immunities and Liabilities. The Corporation and the State Treasurer hereby appoint the Fiscal Agent to receive, deposit and disburse the State Payments, to prepare, execute, deliver and transfer the Certificates, and to perform the other functions and responsibilities set forth herein; all in the manner and subject to the terms and conditions set forth herein. By executing and delivering this Trust Agreement, the Fiscal Agent hereby accepts such appointment. The Fiscal Agent shall, prior to an Event of Default, and after the curing of all Events of Default which may have occurred, perform such duties and only such duties as are specifically set forth in this Trust Agreement. The Fiscal Agent shall, during the existence of any Event of Default (which has not been cured), exercise such of the rights and powers vested in it by this Trust Agreement, and use the same degree of care and skill in their exercise, as prudent persons would exercise or use under the circumstances in the conduct of their own affairs. Notwithstanding any other provision of this Trust Agreement, the Fiscal Agent shall perform all duties required of it hereunder. No provision of this Trust Agreement shall be construed to relieve the Fiscal Agent from liability for its own negligent action or its own negligent failure to act, except that:
