The Servicing Agent is responsible for administering and enforcing this Agreement and fulfilling all other duties expressly assigned to it in this Agreement. The Purchaser has granted the Servicing Agent the authority to take all actions necessary to assure the Seller's compliance with the terms of this Agreement and to take all actions required or permitted to be performed by the Purchaser under this Agreement.

APPOINTMENT OF SERVICING AGENT hereby appoints Seller as servicing agent for * for the purpose of expediting the collection of past due Accounts purchased by * hereunder. Seller, as servicing agent, agrees to maintain an active, on-going and regular dialog with each delinquent Account Debtor. Seller further agrees, as servicing agent, to utilize all powers, influences, rights and to take every action within its control in accordance with its customary practices and applicable law to expedite the collection of the past due Accounts purchased by * hereunder and direct such payments exclusively to the Remittance Address. * reserves the right to terminate Seller as *'s servicing agent at any time with or without cause or notice to Seller.
APPOINTMENT OF SERVICING AGENT. KBK hereby appoints Seller as servicing agent for KBK for the purpose of expediting the collection of past due Accounts purchased by KBK hereunder. Seller, as servicing agent, agrees to maintain an active, on-going and regular dialog with each delinquent Account Debtor. Seller further agrees, as servicing agent, to utilize all powers, influences, rights and to take every action within its control in accordance with its customary practices and applicable law to expedite the collection of the past due Accounts purchased by KBK hereunder and direct such payments in specie exclusively to the Remittance Address.
APPOINTMENT OF SERVICING AGENT. Greystone hereby appoints Seller as servicing agent for Greystone for the purpose of expediting the collection of Accounts purchased by Greystone hereunder. Seller, as servicing agent, agrees to maintain an active, on-going and regular dialogue with each delinquent account debtor. Seller further agrees, as servicing agent, to utilize all powers, influences, rights and to take every action within its control in accordance with its customary practices and applicable law to expedite the collection of the Accounts purchased by Greystone hereunder and direct such payments exclusively to Greystone. Seller, as servicing agent, agrees to (i) promptly forward to Greystone a copy of all credit memoranda or otherwise notify Greystone in writing upon Seller's knowledge of an adjustment an Account upon the subject Client accepting returns or granting allowances in the ordinary course of business, (ii) to promptly send duplicate copies thereof to Greystone, and (iii) settle any Disputed Account in the ordinary course of business as long as (I) the amount of such settlement does not exceed the lesser of $2,500 or five percent (5%) of the Face Amount of such Disputed Account without first obtaining Greystone's written consent to such settlement, and (2) such settlement occurs after notifying Greystone in writing of such settlement. After the occurrence of an Event of Default, Greystone reserves the right to terminate Seller as Greystone's servicing agent at any time with or without notice to Seller.
APPOINTMENT OF SERVICING AGENT. Servicing Agent is an independent contractor that has been retained for the sole purpose of performing the Loan Servicing under this Agreement, and Servicing Agent hereby agrees to perform the Loan Servicing pursuant to the terms, provisions, and conditions set forth below.
APPOINTMENT OF SERVICING AGENT. Upon the occurrence and during the continuation of any Event of Default, to the extent not prohibited by Applicable Health Care Laws and subject to the execution of a Business Associate Agreement, Lender shall have the right to appoint a third party to administer the Receivables (the "Servicing Agent"). The appointment of a Servicing Agent by Lender shall be effective fifteen (15) days after (i) delivery by Lender to Borrower Agent and/or the Credit Parties of written notice of Lender's election to exercise such right and detailing the specific matters relating to Credit Parties' administration of Receivables giving rise to Lender's election so to appoint a Servicing Agent, and (ii) Credit Parties' opportunity during such fifteen (15) day period to cure or address to Lender's satisfaction all such matters. In the event that Credit Parties shall fail to adequately cure or address to Lender's satisfaction the matters so identified by Lender, the appointment of the Servicing Agent shall, in Lender's sole discretion, become immediately effective at the conclusion of such fifteen (15) day period. The Servicing Agent shall administer and service the Receivables for the account of Credit Parties and Lender pursuant to terms, conditions and procedures acceptable to Lender. The Servicing Agent shall cooperate with Lender in establishing and maintaining the electronic interface and electronic data transmission requirements from time to time established by Lender and shall provide Lender such information as it may request regarding the billing, collection and payment on the Receivables. All fees and costs of the Servicing Agent shall constitute Fees and Expenses hereunder and shall be the responsibility of Credit Parties. Upon the appointment of a Servicing Agent, Credit Parties shall immediately transfer to the Servicing Agent, to the fullest extent permitted by applicable law and contracts, all records, computer access and other information as shall be necessary or desirable, in the judgment of the Servicing Agent, to perform the servicing responsibilities. Credit Parties agree to cooperate fully with any Servicing Agent.
