The Supplier shall exercise due skill and care in the selection of any Sub-Contractors to ensure that the Supplier is able to: manage any Sub-Contractors in accordance with Good Industry Practice; comply with its obligations under this Legal Services Contract in the provision of the Ordered Panel Services; and assign, novate or otherwise transfer to the Customer or any Replacement Supplier any of its rights and/or obligations under each Sub-Contract that relates exclusively to this Legal Services Contract. Prior to sub-contracting any of its obligations under this Legal Services Contract, the Supplier shall notify the Customer and provide the Customer with: the proposed Sub-Contractor’s name, registered office and company registration number; the scope of any Ordered Panel Services to be provided by the proposed Sub-Contractor; and where the proposed Sub-Contractor is an Affiliate of the Supplier, evidence that demonstrates to the reasonable satisfaction of the Customer that the proposed Sub-Contract has been agreed on "arm’s-length" terms.
