Retention of Legal Obligations Notwithstanding the Supplier's right to sub-contract pursuant to this Clause 22, the Supplier shall remain responsible for all acts and omissions of its Sub-Contractors and the acts and omissions of those employed or engaged by the Sub-Contractors as if they were its own.

If CCS is able to obtain from any Sub-Contractor or any other third party (including through CCS’s Technology Products 2 framework agreement (RM3733) or any other of CCS’s framework agreements and any successors to these available during the Framework Period) more favourable commercial terms with respect to the supply of any materials, equipment, software, goods or services used by the Supplier or the Supplier Personnel in the supply of the Services, then CCS may: require the Supplier to replace its existing commercial terms with its Sub-Contractor with the more favourable commercial terms obtained by CCS in respect of the relevant item; or subject to Clause 23.3 (Termination of Sub-Contracts), enter into a direct agreement with that Sub-Contractor or third party in respect of the relevant item. If CCS exercises either option pursuant to Clause 23.4, then the Framework Prices shall be reduced by an amount that is agreed in accordance with Clause 19.1 (Variation Procedure). CCS's right to enter into a direct agreement for the supply of the relevant items is subject to: CCS making the relevant item available to the Supplier where this is necessary for the Supplier to provide the Services; and any reduction in the Framework Prices taking into account any unavoidable costs payable by the Supplier in respect of the substituted item, including in respect of any licence fees or early termination charges. The Supplier agrees to procure any products necessary for the provision of the Services through CCS’s Technology Products 2 framework agreement (RM3733) or services through any other CCS framework agreement where requested to do so by a Contracting Body pursuant to a Call Off Agreement except where the Supplier itself features on the relevant framework lot, in which case a clear conflict of interest would exist. In such circumstances the Supplier shall promptly advise the Contracting Body of the conflict of interest and shall not act as Agent. The Parties agree and acknowledge that, unless otherwise approved in writing by NRZ Brokerage, the Commissions set forth herein are based upon a cumulative commission paid from the sale of any Subject REO Referral of the Standard Seller Commission Percentage, such total commissions being the prevailing market rate for REO brokerage services as of the date hereof. Each of the Parties shall have the right, but not the obligation, to conduct market studies during the term of this Agreement at its sole cost and expense, provided such market studies are done in good faith solely for the purpose of assisting in evaluating the prevailing market ranges for REO brokerage services in the applicable jurisdiction and negotiating adjustments as may be required to ensure that the owners of REO Properties are not being charged outside of applicable market ranges for brokerage services in such applicable jurisdiction. (a) If the market studies reflect that market rates for REO brokerage services have decreased, NRZ Brokerage, on New Residential’s behalf, has the right to determine, in its reasonable discretion, whether to decrease the Total Seller Payable Commission for Subject REO Referrals. If the Total Seller Payable Commission decreases in accordance with this Section 9, the Subject REO Referrals shall become [***] REO Properties, in connection with which the Parties agree to adjust their respective portions of the Total Seller Payable Commissions in accordance with Section 5(a)(iii) of this Agreement. (b) If the market studies reflect that the market rates for REO brokerage services have increased, NRZ Brokerage, on New Residential’s behalf, has the right to determine, in its reasonable discretion, whether to permit RHSS to increase the Total Seller Payable Commission for Subject REO Referrals.
