Apportionment of Production Taxes. Seller shall be allocated and bear all Production Taxes for any Tax period or portion thereof ending before the Effective Time. Buyer shall be allocated and bear all Production Taxes for any Tax period or portion thereof beginning on or after the Effective Time. All Production Taxes shall be deemed attributable to the Tax period during which the relevant production occurred and not attributable to the year in which such Production Taxes are assessed; provided, however, that the amount of ad valorem and similar Production Taxes that are imposed on a periodic basis for the Tax period beginning on January 1, 2017, shall be allocated entirely to Seller, and the amount of such Production Taxes for the Tax period beginning on January 1, 2018, shall be allocated entirely to Buyer; and provided, further that with respect to Taxes that are imposed in connection with any sale or other transfer or assignment of property (real or personal, tangible or intangible) or imposed on specific transactions, shall be allocated to the period in which the transfer, assignment or transaction giving rise to such Production Taxes occurred. The apportionment of Production Taxes between the Parties shall take place as (i) an adjustment to the Purchase Price pursuant to Section 3.2 in the Preliminary Settlement Statement for Production Taxes and pursuant to Section 10.2 in the Final Settlement Statement, in each case, using estimates of such Production Taxes if actual numbers are not available, and (ii) an obligation under Section 7.3 and Section 11.2(c).

Apportionment of Production Taxes. For purposes of the Purchase Price adjustments for Production Taxes under Section 3.2, (a) Seller shall be responsible for all Production Taxes attributable to (i) any Tax period ending prior to the Effective Time and (ii) the portion of any Straddle Period ending immediately prior to the Effective Time; and (b) Buyer shall be responsible for all Production Taxes attributable to (i) any Tax period ending after the Effective Time and (ii) the portion of any Straddle Period beginning at the Effective Time. For purposes of allocation between Buyer and Seller of Production Taxes that are payable with respect to Straddle Periods, the portion of any such Production Taxes that are attributable to the portion of the Straddle Period that ends immediately prior to the Effective Time shall (A) in the case of Production Taxes that are based upon or related to income or receipts or imposed on a transactional basis, be deemed equal to the amount that would be payable if the Tax year or period ended immediately prior to the Effective Time and (B) in the case of other Production Taxes, be allocated pro rata per day between the period immediately prior to the Effective Time and the period beginning on the Effective Time. For purposes of clause (A) of the preceding sentence, any exemption, deduction, credit or other item that is calculated on an annual basis shall be allocated pro rata per day between the period ending immediately prior to the Effective Time and the period beginning on the Effective Time, and for purposes of clause (B) of the preceding sentence, the period for such other Production Taxes shall begin on the date on which ownership of the applicable Properties gives rise to liability for the particular Tax and shall end on the day before the next such date. Notwithstanding any other provision in this Agreement to the contrary, (x) the apportionment of Production Taxes between the Parties shall take place as an adjustment to the Purchase Price pursuant to Section 3.2 in the Preliminary Settlement Statement for Production Taxes for which information is available at the Closing and pursuant to Section 3.2 in the Final Settlement Statement for all remaining Production Taxes, using estimates of such Production Taxes if actual numbers are not available, and (y) Buyer shall pay, or cause to be paid, all Production Taxes that become due and payable after the Closing to the relevant Governmental Authorities pursuant to applicable Laws.

Apportionment of Production Taxes. Production Taxes shall be deemed attributable to the period during which such production occurred, and liability therefor allocated to Seller for pre-Effective Time Production Taxes and to Buyer for post-Effective Time Production Taxes. For the purpose of calculating the Final Purchase Price under Section 13.1(a), Production Taxes attributed to pre-Effective Time production shall be estimated based on current State of Montana and State of North Dakota production tax rates, with the Purchase Price adjustment to be considered full and final settlement of all such taxes. After Closing, Buyer shall timely file or cause to be filed all required reports and returns incident to the Production Taxes and shall timely pay or cause to be paid to the taxing authorities all Production Taxes for the tax period during which the Effective Time occurs.

  • Distribution Taxes If any Parent Tax Proceeding relating to Distribution Taxes is reasonably likely to give rise to an indemnity obligation of the Acquiror as successor to SpinCo or the JV Group under Section 12 hereof, Acquiror and Parent shall exercise joint control over the disposition of such Parent Tax Proceeding (and, for the avoidance of doubt, shall keep each other informed of all material developments with respect to such Parent Tax Proceeding to the extent the other party is not otherwise informed thereof).   • Transaction Taxes Fund is responsible for all taxes, levies, duties, and assessments levied on Services purchased under this Agreement (collectively, “Transaction Taxes”). Computershare is responsible for collecting and remitting Transaction Taxes in all jurisdictions in which Computershare is registered to collect such Transaction Taxes. Computershare shall invoice Fund for such Transaction Taxes that Computershare is obligated to collect upon the furnishing of Services. Fund shall pay such Transaction Taxes according to the terms in Section 7.3. Computershare shall timely remit to the appropriate governmental authorities all such Transaction Taxes that Computershare collects from Fund. To the extent that Fund provides Computershare with valid exemption certificates, direct pay permits, or other documentation that exempts Computershare from collecting Transaction Taxes from Fund, invoices issued for Services provided after Computershare’s receipt of such certificates, permits, or other documentation will not reflect exempted Transaction Taxes. Computershare is solely responsible for the payment of all personal property taxes, franchise taxes, corporate excise or privilege taxes, property or license taxes, taxes relating to Computershare’s personnel, and taxes based on Computershare’s net income or gross revenues relating to Services.

  • Apportionment of Taxes For purposes of this Agreement, all Taxes and Tax liabilities with respect to the income, property, employees or operations of the JVC, as the case may be, that relate to a taxable period that begins before and ends after the Closing Date (a “Straddle Period”) shall be apportioned between the period of the Straddle Period that extends before the Closing Date through the day before the Closing Date (the “Pre-Closing Straddle Period”) and the period of the Straddle Period that extends from the Closing Date to the end of the Straddle Period (the “Post-Closing Straddle Period”) in accordance with this Section 11.6. To the extent any income Tax is based on the greater of a Tax on net income, on the one hand, and a Tax measured by net worth or some other basis not otherwise measured by income, on the other, the portion of such Tax related to the Pre-Closing Straddle Period shall be deemed to be the greater of (i) the amount of such Tax measured by net worth or other basis determined as though the taxable values for the entire Straddle Period equal the respective values as of the end of the day on the Closing Date and multiplying the amount of such Tax by a fraction the numerator of which is the number of days during the Straddle Period that are in the Pre-Closing Straddle Period and denominator of which is the number of days in the Straddle Period or (ii) the amount of such Tax measured by net income determined as though the applicable Tax period terminated as of the end of the day on the Closing Date. The portion of Tax related to the Post-Closing Straddle Period shall be calculated in a corresponding manner.
