Reports and Returns. Seller shall promptly after the Closing prepare and file all reports and returns required by Legal Requirements relating to the business of Seller as conducted using the Assets, to and including the Effective Time.
Reports and Returns. (i) The Lessee shall be responsible for preparing and filing any real and personal property or ad valorem tax returns in respect of the Property. In case any other report or tax return shall be required to be made with respect to any obligations of the Lessee under or arising out of subsection (a) and of which the Lessee has knowledge or should have knowledge, the Lessee, at its sole cost and expense, shall notify the relevant Indemnitee of such requirement and (except if such Indemnitee notifies the Lessee that such Indemnitee intends to file such report or return)
(A) to the extent required or permitted by and consistent with Applicable Law, make and file in its own name such return, statement or report; and (B) in the case of any other such return, statement or report required to be made in the name of such Indemnitee, advise such Indemnitee of such fact and prepare such return, statement or report for filing by such Indemnitee or, where such return, statement or report shall be required to reflect items in addition to any obligations of the Lessee under or arising out of subsection (a), provide such Indemnitee at the Lessee's expense with information sufficient to permit such return, statement or report to be properly made with respect to any obligations of the Lessee under or arising out of subsection (a). Such Indemnitee shall, upon the Lessee's request and at the Lessee's expense, provide any data maintained by such Indemnitee (and not otherwise available to or within the control of the Lessee) with respect to the Property which the Lessee may reasonably require to prepare any required tax returns or reports. Each Indemnitee agrees to use its best efforts to send to the Lessee a copy of any written request or other notice that the Indemnitee receives with respect to any reports or returns required to be filed with respect to the Property or the transactions contemplated by the Operative Documents, it being understood that no Indemnitee shall have any liability for failure to provide such copies.

AmSurg has filed all material reports and returns heretofore required by federal, state or municipal authorities and all material reports and returns to the various governmental authorities which control, directly or indirectly, any of its activities, and has paid all sums heretofore due with respect to such reports and returns.

In case any report or return is required to be made by Lessee with respect to any Taxes which are subject to indemnification by Lessee under this Section 10, Lessee will either make such report or return in such manner as will show the ownership of the Aircraft in Owner Trustee or the interest of Owner Participant or its permitted assigns and send a copy of such report or return to the Owner Participant or Owner Trustee or will notify the Owner Participant or Owner Trustee of such requirement and make such report or return in such manner as shall be reasonably satisfactory to Owner Participant or Owner Trustee. If actual notice is given by any taxing authority to an Indemnitee that a report or return is required to be filed with respect to any such Taxes, the Indemnitee shall promptly notify Lessee of such required report or return and Lessee shall either file such report or return in the manner prescribed in the preceding sentence, or shall use its best efforts to cause such report or return to be filed by the appropriate entity. Each Indemnitee agrees to respond to any reasonable request of Lessee for information not within Lessee's control and within the control of and reasonably available to such Indemnitee with respect to the filing of any such report or return, but Lessee agrees to pay any reasonable costs, fees, disbursements or other charges of independent counsel or independent accountants incurred in connection with such request.

In case any report or return shall be required to be made with respect to any Tax that is the obligation of Charterer under this Article 17, Charterer shall (i) to the extent required or permitted by law, and provided that Charterer has been furnished at such Indemnified Person’s expense with such information, not within the control of Charterer, as (x) is in such Indemnified Person’s control, (y) is reasonably available to such Indemnified Person, and (z) is necessary to file such report, return or statement, make and file in its own name such return, statement or report, and (ii) in the case of any other such return, statement or report required to be made in the name of any Indemnified Person, advise such Indemnified Person of such fact and prepare such return, statement or report for filing by such Indemnified Person or, where such return, statement or report shall be required to reflect items in addition to any obligations of Charterer under or arising out of this Article 17, provide such Indemnified Person with information sufficient to permit such return, statement or report to be properly made with respect to any Tax that is the obligation of Charterer under this Article 17.
Reports and Returns. Borrower has filed all reports and tax returns required by governmental authority to be filed by it prior to the date hereof and Borrower has received no notice that such reports or returns have been rejected, declared insufficient, or otherwise challenged by such governmental authority. No representation is made as to the occurrence of tax audits.
Reports and Returns. 9.1 The Custodian shall:
(a) maintain separate records of the interest of each Participant (or his designated Beneficiary) in the Custodial Account indicating (i) the amounts and dates of all contributions, (ii) the investment of such contributions, (iii) the earnings on such investments, (iv) the amounts and dates of all distributions and (v) such other data as deemed useful in carrying out its duties hereunder;
(b) send each Participant, no less frequently than once per calendar quarter, an account statement containing information with respect to the investment of such contributions, and the current status of the account;
(c) mail a quarterly summary of the activity in the Custodial Account during the preceding quarter and a statement showing the value of the assets held in the Custodial Account as of the end of such quarter.
9.2 The Custodian shall file such returns or reports with respect to the Custodial Account as are required to be filed by it under the Code and the regulations thereunder, or by the Department of Labor, if applicable, and the Employer, Administrator and each Participant shall provide the Custodian with such information available to them as the Custodian may be required to file such reports.

If any report or return is required to be made with respect to Taxes that are Lessee’s obligations under Section 2.1, Lessee shall, at its sole expense, in a timely and proper fashion, (x) to the extent required or permitted by law, make and file in its own name such return or report (except for any such report or return that any Lessor has notified Lessee that such Lessor intends to file and, in fact, files), and (y) in the case of any such return or report required to be made in the name of any Lessor, inform Lessor of such fact and prepare such return or report for filing by Lessor in a manner reasonably acceptable to Lessor or, where such return or report is required to reflect items in addition to any obligations of Lessee under or arising out of the Taxes described in Section 2.1, provide Lessor with information sufficient to permit such return or report to be properly made with respect to any Taxes that are obligations of Lessee under Section 2.1 no later than thirty (30) days prior to the filing date of such return or report. Lessor shall provide to Lessee such information within Lessor’s possession or control as is reasonably necessary for Lessee to complete and file any such report or return properly, provided that Lessor shall not be required to provide Lessee with copies of its tax returns.

If any report or return is required to be made with respect to any of Borrower’s obligations under this Section 9.02, Borrower shall in a timely and proper fashion, (x) to the extent required or permitted by law, make and file in its own name such return or report, and (y) in the case of any such return or report required to be made in the name of any Indemnitee, inform such Indemnitee of such fact and prepare such return or report for filing by such Indemnitee in a manner reasonably acceptable to the Indemnitee or, where such return or report is required to reflect items in addition to any obligations of Borrower under or arising out of this Section 9.02, provide such Indemnitee with information sufficient to permit such return or report to be properly made with respect to any obligations of Borrower under this Section 9.02 no later than thirty (30) days prior to the filing date of such return or report. Each Indemnitee shall provide to Borrower such information within that Indemnitee’s possession or control as is reasonably necessary for Borrower to complete and file any such report or return properly.
