Complete and accurate copies of all of the Company's minute books and of the stock register of the Company have been provided by the Company to Parent.

True and complete copies of all minute books of FCBS and FCBS Bank, containing minutes of meetings held and actions taken by their respective Boards of Directors or any committees thereof during the period from January 1, 2004 to the date hereof, have been made available by FCBS to CVBF.

True and complete copies of all minute books of CVBF and CVBF Bank, containing minutes of meetings held and actions taken by their respective Boards of Directors or any committees thereof during the period from January 1, 2004 to the date hereof, have been made available by CVBF to FCBS.

True and complete copies of all minute books of the Company and the Company Subsidiaries have been made available by the Company to Parent.

Such certificate of incorporation and bylaws are in full force and effect. The Company is not in violation of any of the provisions of its certificate of incorporation or bylaws. The minute books of the Company contain accurate records of all meetings and accurately reflect all other actions taken by the shareholders and the Boards of Directors and all committees of the Boards of Directors of the Company. Complete and accurate copies of all such minute books and of the stock register of the Company have been provided by the Company to Acquiror.
