The Company is not in violation of any of the provisions of the Company Articles or the Company Bylaws. True and complete copies of all minute books of the Company and each Company Subsidiary have been made available by the Company to Parent.

The minute books of the Company contain accurate records of all meetings and accurately reflect all other actions taken by the shareholders and the Boards of Directors and all committees of the Boards of Directors of the Company. Complete and accurate copies of all such minute books and of the stock register of the Company have been provided by the Company to Acquiror.
