Assignment by Administrative Agent. LCRA and Assignor acknowledge and agree that Administrative Agent shall have the right to transfer its interest in and rights under this Assignment to any party which Administrative Agent may elect to nominate to acquire, subject to the approval of LCRA , in its sole discretion, and hold title on Administrative Agent’s or Permitted Transferee’s behalf, provided, however, that any such transferee which intends to operate the improvements shall hold an appropriate gaming license issued by the Missouri Gaming Commission.

Assignment by Administrative Agent. If the Administrative Agent shall assign its rights in and to this Agreement to a successor, all provisions of this Agreement shall continue to apply to the disbursement of monies. Upon such assignment, the successor shall be deemed to have succeeded to all of the rights of the Administrative Agent under this Agreement and to have assumed all of the obligations of the Administrative Agent to disburse such monies in the manner and subject to the terms and conditions of this Agreement. Such assignment and assumption shall affect the release of the Administrative Agent from any further obligations under this Agreement.

Assignment by Administrative Agent. Administrative Agent may from time to time assign the Secured Obligations to a successor Administrative Agent appointed in accordance with the Credit Agreement, and such successor shall be entitled to all of the rights and remedies of Administrative Agent under this Agreement in relation thereto.

Assignment by Administrative Agent. The Administrative Agent may assign or otherwise deal with all or any of its rights and obligations under this document in accordance with the Credit Agreement.

Assignment by Administrative Agent. So long as Administrative Agent is not then in breach of any material obligation of Administrative Agent under any Loan Document, Administrative Agent may, at any time upon thirty (30) days advance written notice to the Lenders, assign any or all of its interests as Administrative Agent to an Eligible Lender or any ▇▇▇▇▇▇▇▇ Eligible Party willing to assume the same without the consent or approval of the other Lender Parties, under such assignment documentation as reasonably required by Administrative Agent and such assignee. Upon the effective date of such assignment, the assignor shall be relieved of its responsibilities as Administrative Agent under the Loan Documents; provided that as to actions taken or omitted to be taken prior to the effective date of such assignment, the provisions of the Loan Documents shall continue (as applicable) with respect to the assigning Administrative Agent (including, without limitation, all indemnification rights accruing in favor of such assigning Administrative Agent for all such periods).
