Assignment Documentation. An assignment and certificates representing all of the Shares sold hereunder, endorsed in blank or to Buyer or its nominee as Buyer may elect;
Assignment Documentation. Bills of sale, assignments, endorsements and other documents of title (including titles for all vehicles endorsed for transfer) and other good and sufficient instruments of conveyance and transfer, as are effective to vest Buyer with full, complete and marketable right, title and interest in and to the Assets, free and clear of all Liens (other than Permitted Liens), including assignments of all rights of declarants, developers, and/or sellers as described in the Timeshare Documents and assignments of Intellectual Property (such as a domain name assignment agreement).
Assignment Documentation. With respect to any Assignment, any assignee approved by Sublessor pursuant to this Section 12 shall, from and after the effective date of the Assignment, assume all obligations of Sublessee under this Sublease and shall be and remain liable jointly and severally with Sublessee for the payment of Rent, and for the performance of all of the terms, covenants, conditions and agreements herein contained on Sublessee's part to be performed. Assignment Documentation. At any time during the term of this Agreement or thereafter, Nxxx shall sign, acknowledge and deliver, at the Company's expense, but without compensation other than a reasonable sum for his time devoted to the execution thereof if his employment has then terminated, any document required by the Company to give effect to this Section 14, including patent applications and documents evidencing the assignment of ownership. Nxxx shall also provide such other assistance as the Company may reasonably require with respect to any proceeding or litigation relating to the protection or defense of intellectual property rights belonging to the Company.
Assignment Documentation. No assignment shall be binding on ------------------------ Landlord unless Tenant and the Transferee shall deliver to Landlord a counterpart of the assignment and an instrument in recordable form that contains a covenant of assumption by the Transferee satisfactory in form and substance to Landlord and consistent with the requirements of this Section 16. The failure or refusal of the Transferee to execute an instrument of assumption shall not release or discharge the Transferee from its obligations set forth above.

No Assignment shall be binding on Sublessor unless Sublessee shall deliver to Sublessor a counterpart of the Assignment and an instrument that contains a covenant of assumption by such assignee satisfactory in form and substance to Sublessor, and consistent with the requirements of this Section 12.b. Any failure or refusal of such assignee to execute such instrument of assumption shall constitute a default under this Sublease but shall not release or discharge such assignee from its liability as set forth above.
Assignment Documentation. Prior Agents and Prior Lenders shall have executed and delivered assignment documents, in form and substance satisfactory to Administrative Agent, evidencing the assignment by Prior Agents and Prior Lenders to Collateral Agent and Lenders, respectively, of all security interests, Liens and mortgages granted by Loan Parties to Prior Agents and Prior Lenders under the Pre-Petition Credit Agreement and the other Pre-Petition Loan Documents (“Assignment Documentation”).
Assignment Documentation. Seller agrees to execute such assignments as may be desired by Buyer to vest in all of Seller's right, title and interest in and to the Transferred Assets. The assignment documents shall be approved in writing by Buyer.
Assignment Documentation. The Vendor shall be responsible at the Vendor’s cost, for preparing in draft, assignments or novations of the Business Contracts, Leases, Intellectual Property, Licences and Permits and all other contracts and agreements relating to the Transferred Assets and Business as may be required pursuant to, or in accordance with the intent of, this Agreement. The parties acknowledge and agree that none of the directors and/or shareholders of the Purchaser will provide any guarantees of the obligations of the Purchaser in respect of such assigned contracts. The Purchaser shall, upon receipt of the draft assignments or novations, notify the Vendor whether they are in proper form and each of the parties shall exercise best endeavours to agree on the form of such assignments or novations prior to the Completion Date. The Purchaser may at its sole discretion elect to waive compliance by the Vendor with the provisions of this clause in respect of any or all of such assigned contracts, by giving notice of such waiver to the Vendor at any time prior to Completion.
Assignment Documentation. An assignment and assumption agreement, an amendment to operating agreement and an amendment to the articles of organization of the Company, setting forth the assignment by the Seller of the Member Interest, its withdrawal from the Company, and the admission of the Buyer and/or its designee(s) as a member of the Company;
