Assignment of Improvements. 3.1 Each Party (other than Rapid), hereby assigns all right and ownership in any and all Improvements to Rapid, confirms and acknowledges that Rapid shall have the right to patent, copyright, and/or trademark any Improvements in its own name, and shall own all rights to any such granted patents, copyrights, and/or trademarks, and that each such Party shall, whenever and as reasonably requested by Rapid and at their sole cost and expense, do, execute, acknowledge and deliver any and all such other and further acts, deeds, assignments, transfers, conveyances, confirmations, powers of attorney and any instruments of further assurance, approvals, and consents as Rapid may reasonably require in order to complete, insure and perfect the obligations set forth in this Section 3.1. Assignment of Improvements a. In the event you think of, create, reduce to practice, manufacture, or have manufactured any Derivative Works to our Products and Services, including without limitation, modifications, improvements, or revisions, you agree:
Assignment of Improvements. Improvements and new designs pertaining to the Product made or developed by PRELL d/b/a DCR during the term of the Agreement shall be the sole pxxxxxty of RSI free of any additional royalty or other charge. PRELL d/b/a DCR shall promptly inform RSI of any and all such improvxxxxxs.
Assignment of Improvements. Subject to the terms and conditions hereof, STPI hereby assigns to DOR the IMPROVEMENTS made, invented or conceived by STPI (and its AFFILIATES but only if such AFFILIATES are appointed as distributors hereunder or receive any CONFIDENTIAL INFORMATION of DOR) after the EFFECTIVE DATE and agreed to take any and all actions, make and execute any and all assignments and make any filings in order to facilitate the foregoing.

Each Party shall cooperate with the other Party, including but not limited to executing and delivering any instrument required to assign or transfer such Improvements to the other Party in accordance with this Section 9.2.
Assignment of Improvements. All right, title and interest in the Improvements to Transmissions, together with all patent rights and other intellectual property rights therein, shall be owned by Fallbrook, but such Improvements shall become part of the Licensed IP Rights hereunder and shall thereby be available to Manufacturer. Manufacturer hereby assigns and transfers to Fallbrook all of Manufacturer’s right, title and interest therein and thereto. Manufacturer shall cause all employees and other persons or entities acting on its behalf in Proprietary Information
Assignment of Improvements. Eurofarma hereby assigns and agrees to assign, on behalf of itself and its Related Parties, to Summit all of Eurofarma’s and its Related Parties’ rights, title and interest in and to all Know-How and Patent Rights that (a) are invented, developed or generated on or after the Effective Date by or on behalf of Eurofarma or any of its Related Parties or any Third Party on behalf of or pursuant to contracts with Eurofarma or any of its Related Parties, whether solely or jointly with Summit or any of its Related Parties or any Third Party, and (b) constitute an improvement to any Summit Technology.
