Assignor further covenants and agrees that it will upon request, execute and deliver to Assignee any other reasonably requested documents and materials that Assignee reasonably believes are necessary for Assignee to perfect its title, or otherwise enforce its rights, in the Trademark Rights. Assignor also hereby authorizes the respective trademark office or governmental agency in each jurisdiction to issue any and all trademark registrations or equivalent which may be granted upon any of the Trademark Rights in the name of Assignee, as the assignee to the entire interest therein. The terms and conditions of this Assignment shall inure to the benefit of Assignee, its successors, assigns and other legal representatives, and shall be binding upon Assignor, its successor, assigns and other legal representatives.
Assignment of Trademark Rights. Shareholder shall have assigned to GBT all of his rights in that trademark application pending with the U.S. Patent and Trademark Office with respect to the name and xxxx "Sitemail."
Assignment of Trademark Rights. SPI NV agrees to cause the current registered holder of the Trademarks to assign directly to ADIHBV all of the current holder's right, title and interests in and to the Trademarks and the goodwill associated therewith, in the Territory and all United States territories and possessions, such assignment to be effected pursuant to a Deed of Assignment in the form attached as Exhibit C hereto.

(ii) In connection with the foregoing Collateral Assignment of Trademarks, each Borrower hereby warrants that: the Trademarks set forth in Schedule 1.9) are a true and complete list of all trademark applications for registrations of trademarks and trademark registrations now owned by either Borrower (the "Trademarks"); the Trademarks are subsisting and have not been ruled or declared invalid or unenforceable; to the best of each Borrower's knowledge, each of the Trademarks are valid and enforceable and there is no litigation or proceeding pending or threatened concerning the validity or enforceability of the Trademarks; to the best of each Borrower's knowledge, no claim has been made that the use of any of the Trademarks violates or may violate the rights of any third person; each Borrower is the sole and exclusive owner of the entire and unencumbered right, title and interest in and to each of the Trademarks identified as being owned by such Borrower with the exception of nonexclusive license in certain of the Trademarks in favor of those entities set forth in Schedule 1.9; neither Borrower has any trademarks registered with any foreign or state office, official or authority of any sort except as set forth in Schedule 1.9; each Borrower has used or will continue to use the proper statutory notice in connection with its use of the Trademarks; each Borrower will use consistent standards of quality and manufacturing of products sold under the Trademarks; each Borrower has the unqualified right to enter into the Collateral Assignment of Trademarks to which it is a party and perform its terms and has entered or will enter into written agreements with each of its present and future employees, agents, consultants, licensors and licensees w...
Assignment of Trademark Rights. This Assignment of Trademark Rights (the “Assignment”) is made from HydroPouch Corporation, an Illinois corporation having its principal place of business at 0000 X. Xxxxxxxx Xxx., Xxxxx 000, Xxxxxxx, Xxxxxxxx 00000 (the “Seller”), to Nuzee Co., Ltd., a California corporation having its principal place of business at 0000 Xxxxxxxxx Xxx. #000, Xxx Xxxxx, Xxxxxxxxxx 00000 (the “Buyer”).
Assignment of Trademark Rights. 2.1 The Assignor hereby irrevocably assigns, grants and transfers to the Assignee, all of the Assignor’s right, title, and interest in and to the ZOOM Marks in the PRC including all common law rights, and any trademark registrations and applications, along with the goodwill of the business symbolized therewith.
2.2 The Assignor hereby authorizes the Assignee and/or its designated agent to record this Assignment with the trademark office of the PRC. The Assignor shall execute any and all additional instruments, writings and other documents and take any additional steps as may be necessary or proper as determined by the Assignee, at the sole expense of the Assignee, in order to effect the assignment of the ZOOM Marks, and shall otherwise cooperate with the Assignee to accomplish the purpose of this Agreement.

2.5 The Assignor agrees that upon the Chinese Trademark Office's verification/announcement of the Assignor as the proprietary holder of the application right of the trademarks, the Assignee shall have the exclusive right to apply to the Chinese Trademark office for the handling of the transfer procedures to transfer the application right of the trademarks from the Assignor to the Assignee in accordance with the agreement herein, and submit a Transfer Application/Application for Registered Trademarks (as shown in EXHIBIT B) signed by the Assignor directly to the Trademark Office, and upon verification/announcement by the Trademark Office, become the proprietor of the application right of such trademarks, and further complete the registration procedures of the trademarks.
2.6 Once the Assignee completes the registration of the ZOOM Marks at the Trademark Office and obtains a Trademark Registration Certificate, it shall become the proprietary owner of the ZOOM Marks.. At all times during the above-mentioned process, the Assignor shall make best efforts to assist the Assignee in order to satisfactorily complete the transfer of the ownership of the ZOOM Marks to the Assignee.

Producer will promptly quitclaim to TRV all of Producer’s right, title and interest in and to the marks “Wednesday Night is Poker Night”, “Every Night is Poker Night” and any substantially similar mxxx(s) (collectively, the “Transferred Marks”) and all goodwill therein. , Producer will also assign any existing trademark application for the Transferred Marks (the “Applications”), with the understanding that if such applications cannot for any reason be assigned, Producer will withdraw the same with prejudice. Except to the extent set forth below, Producer represents that it has not assigned, licensed, transferred or encumbered the Applications, the Transferred Marks or their goodwill. Producer makes no representations or warranties respecting the validity or protectability of the Transferred Marks. Notwithstanding the foregoing, TRV acknowledges that the “Wednesday Night is Poker Night” currently appears on the back of the “Shuffle Up and Deal” book by Mxxx Xxxxxx for distribution throughout the world (the “Book Use”), and on die cast toy tractor-trailors produced by FFERTL III, Inc. (the “Die Cast Use”) for distribution in the United States, under licenses from Producer (the Book Use and the Die Cast Use, collectively, the “Existing Licenses”). Producer represents and warrants as follows: (i) The Book Use was authorized for a term not to exceed ten (10) years, (ii) the Die Cast Use was authorized for a term that expires October 31, 2007; (iii) Producer will not authorize any extensions of the Existing Licenses (i.e., that include any Transferred Marks) nor any further use of any Transferred Marks in connection with such Existing Licenses or otherwise. TRV agrees that it will not disturb the Existing Licenses.
Assignment of Trademark Rights. An assignment agreement (the "Trademark Assignment") in the form of Exhibit B hereto, pursuant to which Seller will assign to Buyer all of Seller's right, title and interest in, to and under all trademarks and applications therefor included in the Purchased Assets.
