ASSIGNMENT; SUB-LICENSING. The rights granted hereunder can be assigned in whole or in parts to third parties (including but not limited to its affiliated companies), (sub-license or encumbered to third parties without the prior written consent of the Artist.
ASSIGNMENT; SUB-LICENSING. The LICENSEE shall not be entitled to transfer, assign or sub-licence any of its rights or obligations hereunder, in whole or in part, without the prior written consent of the LICENSOR.
ASSIGNMENT; SUB-LICENSING. This agreement and the rights hereunder shall be freely assignable by Licensor. This Agreement and the rights hereunder shall not be assignable by Licensee without the prior written consent of Licensor, and any attempt to assign this Agreement and/or the rights hereunder without such consent is null and void. Further, this Agreement and the rights herein granted may not be sub-licensed by Licensee except to a company in which Licensee has a majority ownership interest. Any attempt to sub-license this Agreement and/or the rights hereunder in violation of the foregoing shall be null and void and of no force or effect.
ASSIGNMENT; SUB-LICENSING. 9.1 VuCo GmbH & Co. may assign or otherwise transfer the rights and obligations hereunder in whole or in part to a third party, PROVIDED THAT such third party is to be bound by the terms and conditions hereof and related hereto.
ASSIGNMENT; SUB-LICENSING. 9.1 Behringwerke shall not assign or otherwise transfer the rights and obligations hereunder to a third party without the prior approval of VuCo GmbH & Co. In case Behringwerke sells its business operations or part thereof for which the Patents and Licensed Patents are needed, VuCo GmbH & Co. shall not withhold such approval, unless for good reason. In any case, Behringwerke may transfer all its rights and obligations under this License Agreement to Hoechst AG or any company affiliated with Hoechst AG pursuant to Sec. 15 et seq. stock corporation act (AKTIENGESETZ) without the approval by VuCo GmbH & Co.
ASSIGNMENT; SUB-LICENSING. The Media User may not assign, sub-licence or sub-contract any of its rights under the agreement to a third party without the Company’s prior written consent.
ASSIGNMENT; SUB-LICENSING. 13.1 The Hirer shall not be entitled to assign, transfer, sell, sub-license, lease, rent, charge or otherwise deal in or otherwise encumber the Equipment.
ASSIGNMENT; SUB-LICENSING. Customer may not transfer, distribute in any way, sell, sub-license rent or lease any of the rights granted under this Agreement.
ASSIGNMENT; SUB-LICENSING. Except as otherwise specifically provided for in this Agreement, neither Party may assign, voluntarily, by operation of law, or otherwise, any rights or delegate any duties under this Agreement without the other Party’s prior written consent, and any attempt to do so without that consent will be null and void and of no force or effect. Notwithstanding the foregoing, however, Company may grant sub-licenses to affiliated entities involved in the Project, as may be reasonably necessary in connection with offering the investment opportunity in the Proposed Offering through the Program, or otherwise to facilitate the acquisition of land and the development, construction, and operation of the Proposed Project, however such sub-licensees may not include any party who maintains an interest in another USCIS-approved EB-5 regional center. This Agreement will bind and inure to the benefit of the Parties and their respective successors and permitted assigns.

(a) The Licensee shall not assign this License or sub-License the whole or any part of the Equipment Space without prior written approval of the Licensor being first had and obtained, which approval may not be unreasonably withheld if the assignee or sub-Licensee enters into an agreement in writing with the Licensor to abide by and be bound by this License.
