Intellectual Property Assignments. Each Intellectual Property Assignment is effective to grant to Administrative Agent for the benefit of Lenders an enforceable first priority Security Interest in all the Intellectual Property described therein, subject only to Permitted Security Interests affecting such Intellectual Property.

In addition, the Contributing Companies shall have taken such steps in causing the registration of copyrights in the Core IP and the recordation of any previous assignments in the chain of title for the Core IP which are necessary to enable Newco to record the Core IP assignments.
