Assignments of Inventions. 1Definitions. As used in this Agreement, the term “Intellectual Property Rights” means all trade secrets, Copyrights, trademarks, mask work rights, patents and other intellectual property rights recognized by the laws of any jurisdiction or country; the term “Copyright” means the exclusive legal right to reproduce, perform, display, distribute and make derivative works of a work of authorship (as a literary, musical, or artistic work) recognized by the laws of any jurisdiction or country; and the term “Moral Rights” means all paternity, integrity, disclosure, withdrawal, special and any other similar rights recognized by the laws of any jurisdiction or country.
Assignments of Inventions. None of the material Intellectual Property owned by the Company or any Subsidiary was developed by an Employee or other third Person who has not executed a valid written agreement pursuant to which such Employee or other third Person assigned to the Company or a Subsidiary all of their rights to such Intellectual Property.
Assignments of Inventions. I agree that I will promptly make full written disclosure to the Company, and hereby assign to the Company, or its designee, all my right, title and interest in and to any and all inventions, original works of authorship, developments, concepts, improvements or trade secrets, whether or not patentable or registerable under copyright or similar laws, which I solely or jointly conceive or develop or reduce to practice, during the period of time I am in the employ of the Company (collectively referred to as “Inventions”), except as provided in section 3.f. below. I further acknowledge that all original works of authorship which are made by me solely or jointly with others, within the scope of and during the period of my employment with the Company, and which are protectable by copyright are “work made for hire,” as that term is defined in the United States Copyright Act.
Assignments of Inventions. Each Party shall, and shall cause its officers, employees, contractors and agents to, (a) execute, all documents, including, without limitation, assignments of inventions and discoveries and all related intellectual property rights, and (b) perform such acts as may be necessary, useful or convenient to secure or enforce for the other Party statutory protection including patent, trademark, trade secret or copyright protection within the Territory for all intellectual property assigned to it pursuant to this Section 9. 9.6 Regulatory Files. Company shall own all regulatory files with respect to the Product including without limitation regulatory data and documentation prepared by Manufacturer respecting the manufacture of the Product, including without limitation the [***] filing with the FDA related to the Product.

Assignments of Inventions. Each Party shall have agreements with each of its employees and agents who will be participating in the LD Implant Development Program assigning all of the employee’s or agent’s rights in the LD Implant Technology to the Party, and requiring cooperation, including execution of assignments and patent applications if requested. Each Party agrees to assign all its rights in LD Implant Technology owned by the other Party pursuant to Section 6.3 to that Party.
