Assistance of the Company. Without limiting any of the foregoing, Employee shall assist Company in every way deemed necessary or desirable by Company (but at the Company's expense) to obtain and enforce patents, copyrights, trademarks and other rights and protections relating to any Confidential Information and Inventions in any and all countries, and to that end Employee will execute all documents for use in obtaining and enforcing such patents, copyrights, trademarks and other rights and protections as Company may desire, together with any assignments thereof to Company or persons designated by it. If Company is unable for any reason to secure Employee's signature to any document required to apply for or execute any patent, copyright, maskwork or other applications with respect to any Inventions (including improvements, renewals, extensions, continuations, divisions or continuations in part thereof), Employee hereby irrevocably designates Company and its duly authorized officers and agents as Employee's agents and attorneys-in-fact and on Employee's behalf to execute and file any such application and to do all other lawfully permitted acts to further the prosecution and issuance of patents, copyrights, maskworks or other rights thereon with the same legal force and effect as if executed by Employee. Employee's obligation to assist the Company shall continue beyond the termination of Employee's employment, but Company shall compensate employee at a reasonable rate after Employee's or Employee termination for time actually spent by Employee at the Company's request on such assistance.
Assistance of the Company. Company shall provide reasonable assistance to Transferee and any of its successors and assigns (subject to reimbursement to Company of any Out-Of-Pocket Expenses in connection therewith) to evidence, record, and perfect any assignment made or required pursuant to this Agreement, and to apply for and from time to time assist Transferee and/or Permitted Transferees to enforce, maintain and defend the assigned rights, including by entering into the Assignment and Assumption Agreement.
Assistance of the Company. The Company will be responsible for assisting the Board in carrying out its duties and responsibilities under the Mixed and Shared Trusting Exemptive Order by providing the Board with all information reasonably necessary for the Board to consider any issues raised. The responsibility includes, but is not limited to, an obligation by the Company to inform the Board whenever it has determined to disregard Variable Contract owner voting instructions. No less than annually, the Company shall submit to the Board such reports, materials or data as the Board may reasonably request so that the Board may fully carry out its obligations. Such reports, materials, and data shall be submitted more frequently if deemed appropriate by the Board.

Assistance of the Company. The Company shall assist the Transferee and any of its successors and assigns to evidence, record, and perfect any assignment made or required pursuant to this Agreement, and to apply for and from time to time assist the Transferee and/or Permitted Transferees to enforce, maintain and defend the assigned rights, including by entering into one or more Assignment and Assumption Agreements substantially in the form of Schedule 6 attached hereto.
Assistance of the Company. The Company and SINA Subsidiaries hereby agree that they shall, upon the Consultant's reasonable request from time to time, but no later than the end of July 29, 2002, to sign necessary documents and assist the Consultant to transfer his labor and employment relationship with SINA Subsidiaries in Hong Kong to entities designated by the Consultant.
Assistance of the Company. The Employee agrees to assist the Company or its representative in order to protect by any means the Company’s rights relating to inventions, copyrights, patents, semi-conductor topography or any other intellectual property rights, in any country. Expenses incurred by the Employee in connection with such assistance will be borne by the Company. During and at the end of this commitment, the Employee undertakes not to reveal to anyone, nor to use for his own account or for the account of others, any confidential information, in any form whatsoever, of which he may have become aware in the course of his duties, relating to the Company’s activities, organization, finances, the Company’s strategy and development, existing or future contracts, customers, business partners or, more generally, the current or future business of the Company and the companies in the group to which the Company belongs, with the exception of information in the public domain.

  • Performance of the Company The Company shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement and the Registration Rights Agreement to be performed, satisfied or complied with by the Company at or prior to the Commencement. The Company shall deliver to the Investor on the Commencement Date the compliance certificate substantially in the form attached hereto as Exhibit C (the “Compliance Certificate”).

  • OFFICE OF THE COMPANY As long as any of the Warrants remain outstanding, the Company shall maintain an office or agency (which may be the principal executive offices of the Company) where the Warrants may be presented for exercise, registration of transfer, division or combination as provided in this Warrant.

  • Assistance and Cooperation (a) Each of the Companies shall provide (and shall cause its Affiliates to provide) the other Companies and their respective agents, including accounting firms and legal counsel, with such cooperation or information as they may reasonably request in connection with (i) preparing and filing Tax Returns, (ii) determining the liability for and amount of any Taxes due (including estimated Taxes) or the right to and amount of any refund of Taxes, (iii) examinations of Tax Returns, and (iv) any administrative or judicial proceeding in respect of Taxes assessed or proposed to be assessed. Such cooperation shall include making available, upon reasonable notice, all information and documents in their possession relating to the other Companies and their respective Affiliates as provided in Section 9. Each of the Companies shall also make available to the other Companies, as reasonably requested and available, personnel (including employees and agents of the Companies or their respective Affiliates) responsible for preparing, maintaining, and interpreting information and documents relevant to Taxes. (b) Any information or documents provided under this Section 8 or Section 9 shall be kept confidential by the Company or Companies receiving the information or documents, except as may otherwise be necessary in connection with the filing of Tax Returns or in connection with any administrative or judicial proceedings relating to Taxes. Notwithstanding any other provision of this Agreement or any other agreement, in no event shall any of the Companies or any of their respective Affiliates be required to provide the other Companies or any of their respective Affiliates or any other Person access to or copies of any information if such action could reasonably be expected to result in the waiver of any Privilege. In addition, in the event that any of the Companies determine that the provision of any information to the other Companies or their respective Affiliates could be commercially detrimental, violate any law or agreement or waive any Privilege, the Parties shall use reasonable best efforts to permit compliance with their obligations under this Section 8 or Section 9 in a manner that avoids any such harm or consequence.

  • Termination of the Company Upon the voluntary termination of the Company upon the consent of the Members, the sale or other transfer of all or substantially all of the Company's assets or any other termination of the Company in accordance with the provisions of this Agreement, the Company shall wind up its affairs and shall then be liquidated as provided in Article 13.

  • Duration of the Company The Company shall continue in perpetuity unless terminated sooner by operation of law or by decision of the Member.

  • Formation of the Company The Company was formed as a limited liability company under the Act on April 24, 2008. The Member hereby agrees that the person executing and filing the Certificate of Formation of the Company was and is an “authorized person” within the meaning of the Act, and that the Certificate of Formation filed by such authorized person is the Certificate of Formation of the Company.

  • Term of the Company The term of the Company commenced on the Formation Date and shall continue in existence until termination and dissolution thereof as determined under Section 21 of this Agreement; provided that this Agreement shall remain in full force and effect notwithstanding the termination and dissolution of the Company.

  • Opinion of General Counsel of the Company The General Counsel of the Company, shall have furnished to the Representatives, at the request of the Company, a written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives and substantially in the form previously agreed by the parties hereto.
