Assistance with Conversion. Upon any termination of this Agreement, CB&T shall provide to CompuCredit, at CompuCredit's expense, all assistance reasonably necessary to enable CompuCredit to convert the accounts serviced hereunder to the processing system designated by CompuCredit and shall cooperate with CompuCredit in its efforts to effect such conversion at the earliest practicable date.
Assistance with Conversion. Upon any termination of this Agreement or the purchase of Accounts by Marketer or Marketer’s designee, Bank shall provide to Marketer all assistance reasonably necessary to enable Marketer to convert the Accounts serviced hereunder to the processing system designated by Marketer, and cooperate with Marketer in its efforts to effect such conversion, at the earliest reasonably practicable date.

Upon any termination of this Agreement, Provider shall provide to the Bank all assistance reasonably necessary to enable the Bank to convert the accounts serviced hereunder to the processing system designated by the Bank and shall cooperate with the Banking Group in its efforts to effect such conversion at the earliest practicable date.

Assistance with Conversion. Buyer shall cause the Conversion Date to occur as soon as practicable and shall keep Servicer informed, on a regular basis, as to the progress of its conversion efforts. Upon Buyer's reasonable request, Servicer shall provide to Buyer assistance in connection with conversion of the Accounts to the processing system designated by Buyer; provided, that such reasonable assistance does not interfere with Servicer's normal operations. Servicer agrees that it shall provide in a timely fashion such conversion tapes and other necessary materials for conversion from its system in the Servicer's form and format as necessary to install and maintain the information contained therein on the system designated by Buyer. Buyer and Servicer shall each bear its own conversion expenses. Buyer shall pay the costs associated with the conversion onto its designated processing system.

Upon any termination of this Agreement, Bank shall provide to Marketer all assistance reasonably necessary to enable Marketer to convert the accounts serviced hereunder to the processing system designated by Marketer, and cooperate with Marketer in its efforts to effect such conversion, at the earliest practicable date. So long as such conversion is not caused by Bank’s breach of this Agreement or another relevant agreement related to the Program, Marketer shall be responsible for all costs and expenses incurred in connection with such conversion, including any out-of-pocket costs and expenses reasonably incurred by Bank in connection therewith, all fees and expenses charged by Processor or any other Processor and any other third parties in connection with such conversion, and any ongoing liability to Processor or any other Processor which may result from the conversion.

The Bank and the Company hereby retain Trident to assist the Bank and the Company in the Conversion by (i) training and educating the Bank's employees in respect of the mechanics and regulatory requirements of the conversion process; (ii) keeping records of all subscriptions for the Shares; and (iii) obtaining proxies from the Bank's members for use at the Special Meeting of Members at which the Conversion is to be considered.

The Association and the Company hereby retain Trident to assist the Association and the Company in the Conversion by (i) training and educating the Association's employees in respect of the mechanics and regulatory requirements of the conversion process; (ii) keeping records of all subscriptions for the Shares; and (iii) obtaining proxies from the Association's members for use at the Special Meeting of Members at which the Conversion is to be considered.
Assistance with Conversion. Bank and Servicer shall cause the Conversion Date to occur as soon as practicable but no later than November 1, 2005 (the "Conversion Date"), unless such delay is outside the Bank's or Servicer's reasonable control. Both Bank and Servicer shall keep each other informed, on a regular basis, as to the progress of its conversion efforts. Upon Bank's reasonable request, Servicer shall provide to Bank, assistance in connection with conversion of the Accounts to the Bank's processing and servicing system; provided that such reasonable assistance does not interfere with Servicer's normal operations. In addition, Servicer agrees that it shall provide in a timely fashion such deconversion tapes and other materials necessary for deconversion from its system to the Bank's processing and servicing system. The form and format of such deconversion tapes shall be mutually agreed upon by Bank and Servicer. Bank and Servicer shall each bear its own conversion expenses; provided, however, that Bank shall bear the costs and expenses associated with the conversion onto its processing and servicing system. To facilitate Servicer's preparation for deconversion, Bank shall assign resources with prior conversion experience to the conversion team and supply Servicer as soon as practicable with a prioritized list of materials that will be required to effect a seamless conversion including, but not limited to, any cardholder or applicant communications.
Assistance with Conversion. HSD's on-site Implementation Project Management staff will assist the Customer to develop an approach for converting data in existing Legacy systems for the use of any such data with the Software. That assistance typically consists of mapping data from the Legacy system to the Software on a field by field basis that specifies where specific Legacy data fields are to be placed in the Software.
