Assurances of Data User’s Non-Employee Agents. Data User shall not disclose the Data Set to any non-employee agent, or subcontractor of Data User except with the express prior written consent of Covered Entity. Data User shall ensure that any agents, including subcontractors, to whom it provides the Data Set agree in writing to be bound by the same restrictions and conditions that apply to Data User with respect to such Data Set.

Assurances of Data User’s Non-Employee Agents. Data User shall not disclose the Limited Data Set to any non-employee agent, including subcontractors, of Data User except with the express prior written consent of Covered Entity. Data User shall ensure that any non-employee agents, including subcontractors, to whom it provides the Limited Data Set agree in writing to comply with the same restrictions and conditions that apply to Data User with respect to such Limited Data Set pursuant to this Agreement. Nondisclosure Except As Provided In Agreement. Data User shall not use or further disclose the Limited Data Set except as permitted or required by this Agreement or as otherwise required by law. In the event Data User is required by law to disclose the Limited Data Set, Data User shall promptly notify Covered Entity in writing, and in any case, within five (5) business days of its receipt of such legal process or request in order to allow Covered Entity to contest such disclosure.

Access to the Limited Data Set by individuals who are not affiliated with Covered Entity requires the execution of a separate Data Use Agreement between Covered Entity and the third party, which can be obtained by emailing a request to XxxxXxxxxx@xxxxxx.xxxx.xxx. Data User shall ensure that any individuals who are not affiliated with UCLA, including non- employee agents and subcontractors, to whom it provides the Limited Data Set sign the above-referenced separate Data Use Agreement without modification.

The Supplier shall ensure that such back-ups are available to the Customer (or to such other person as the Customer may direct) at all times upon request and are delivered to the Customer at no less than six (6) Monthly intervals (or such other intervals as may be agreed in writing between the Parties). The Supplier shall ensure that any system on which the Supplier holds any Customer Data, including back-up data, is a secure system that complies with the Security Policy and the Security Management Plan (if any). If at any time the Supplier suspects or has reason to believe that the Customer Data is corrupted, lost or sufficiently degraded in any way for any reason, then the Supplier shall notify the Customer immediately and inform the Customer of the remedial action the Supplier proposes to take. If the Customer Data is corrupted, lost or sufficiently degraded as a result of a Default so as to be unusable, the Supplier may: require the Supplier (at the Supplier's expense) to restore or procure the restoration of Customer Data to the extent and in accordance with the requirements specified in Call Off Schedule 8 (Business Continuity and Disaster Recovery) or as otherwise required by the Customer, and the Supplier shall do so as soon as practicable but not later than five (5) Working Days from the date of receipt of the Customer’s notice; and/or itself restore or procure the restoration of Customer Data, and shall be repaid by the Supplier any reasonable expenses incurred in doing so to the extent and in accordance with the requirements specified in Call Off Schedule 8 (Business Continuity and Disaster Recovery) or as otherwise required by the Customer. The policy may provide that Employees deposit any fees received for such jury service with the Contractor or that the Contractor deduct from the Employee’s regular pay the fees received for jury service.
