At-Will Employment. The Company and Executive acknowledge that Executive’s employment is and shall will continue to be “at-will,” , as defined under applicable law, except as may otherwise be specifically provided under the terms of any written formal employment agreement between the Company and Executive (an “Employment Agreement”). If Executive’s employment terminates for any reason, including (without limitation) any termination not set for in Section 3, Executive shall will not be entitled to any payments, benefits, damages, awards or compensation other than as provided by this Agreement.

At-Will Employment. The Company and Executive acknowledge that Executive’s employment is and shall will continue to be “at-will,” , as defined under applicable law. If Executive’s employment terminates for any reasonreason other than for the reasons specified herein during the period that is on or within twelve (12) months after a Change in Control as provided herein, Executive shall will not be entitled to any payments, benefits, damages, awards or compensation other than the payment of accrued but unpaid wages, as provided required by this Agreementlaw, and any unreimbursed reimbursable expenses or pursuant to written agreements with the Company, including equity award agreements.

At-Will Employment. The Company and the Executive acknowledge that the Executive’s 's employment is and shall continue to be “at-will,” as defined under applicable law. If the Executive’s 's employment terminates for any reason, including (without limitation) any termination prior to a Change of Control, the Executive shall not be entitled to any payments, benefits, damages, awards or compensation other than as provided by this Agreement, or as may otherwise be available in accordance with the Company's established written Executive plans or pursuant to other written agreements with the Company.

If Executive’s employment terminates for any reason, Executive shall will not be entitled to any payments, benefits, damages, awards or compensation other than as provided by this Agreement, including any payments or benefits Executive would have otherwise been entitled to under his or her Employment Agreement.

At-Will Employment. The Company and Executive acknowledge that Executive’s employment is and shall will continue to be “at-will,” , as defined under applicable law. Upon and after such termination, all obligations of Executive and the Company under this Agreement shall not be entitled to any paymentscease, benefits, damages, awards or compensation other than except as otherwise provided by this Agreementherein.

If Executive’s employment terminates for any reason, Executive shall not be entitled to any payments, benefits, damages, awards or compensation other than as provided by this Agreement, or as may otherwise be available in accordance with the Company’s established employee plans and practices or other agreements with the Company at the time of termination.

At-Will Employment.
