Audit of Royalty Payments. During the Royalty Term and for a period of one (1) year thereafter, no more than once in any twelve (12)-month period, the Royalty Recipient shall have the right to have an independent certified public accountant of nationally recognized standing reasonably acceptable to the Buyer inspect and audit the Buyer’s records for the purpose of verifying the accuracy of any Royalty Payments that were not the subject of a dispute pursuant to Section 1.5(c)(6) or a prior audit pursuant to this Section 1.5(c)(5). The accountant shall keep confidential from third parties (other than the Royalty Recipient and its Representatives) any information obtained during such inspection and shall only report its calculation of the amounts of Indocin Net Sales and Royalty Payments corresponding to the time period under review. If the Royalty Recipient wishes to dispute the amount of Royalty Payments due hereunder for any particular time period, the Royalty Recipient shall prepare and deliver to the Buyer a report setting forth the accountant’s calculation of the Indocin Net Sales and the corresponding Royalty Payments in respect of such time period (the “Royalty Audit Statement”).

Audit of Royalty Payments. (a) Upon the written request of Licensor and not more than once in each Fiscal Year, Myriad shall permit an independent certified public accounting firm of nationally recognized standing selected by Licensor, and reasonably acceptable to Myriad, to have access during normal business hours, and upon fifteen (15) business days prior written notice, to such of the records of Myriad as may be reasonably necessary to verify the accuracy of the royalty reports hereunder for any Fiscal Year ending not more than thirty-six (36) months prior to the date of such request. The accounting firm shall disclose to Licensor only whether the royalty reports are correct or incorrect and the specific details concerning any discrepancies. No other information shall be provided to Licensor.
Audit of Royalty Payments. No more than once in any calendar year, and upon prior written notice, Licensor shall have the right request an audit of the books and records that form the basis of Licensee’s Net Sales and the calculation of the Royalties by an independent auditor designated by Licensor. Licensee agrees to give such independent auditor full and unfettered access to such books and records during normal business hours at a time mutually agreeable to the Parties. Licensee will have the right to require the independent auditor to sign appropriate non-disclosure agreements with Licensee prior to receiving any information, and the independent auditor may disclose only the final results of such audit to Licensor (i.e., whether the royalties actually paid were the correct amount). Licensor shall pay the entire costs and fees for such audit unless such audit reveals a discrepancy in the amount owed to Licensor greater than three percent (3%), in which case the reasonable costs of the audit shall be paid by Licensee. If it is determined during such audit that the amount of Royalties calculated and paid to Licensor was less than the correct amount of Royalties owed during the reviewed period, Licensee shall pay any outstanding Royalties due within five (5) days of such audit determination. If it is determined during such audit that the amount of Royalties calculated and paid to Licensor was greater than the amount owed, then Licensee may take a credit for the overpayment on the next Royalties payment, and shall reflect the credit in the statement accompanying the Royalties payment.
