Audit Threshold. If, during the Term of this Lease, Tenant's Share of Expenses for a full calendar year increases by more than five percent (5%) from Tenant's Share of Expenses for the immediately preceding full calendar year, Tenant may audit Landlord's common area actual operating costs in order to verify the accuracy of the Expense charges provided that:
(1) Tenant specifically designates the calendar year(s) that Tenant intends to audit, which shall be a year within three (3) years of the date of the audit but must be within the Term of this Lease; and
(2) Such audit will be conducted only during regular business hours at the office where Landlord maintains operating expense records and only after Tenant gives Landlord fourteen (14) days' prior notice of its intention to conduct an audit.
Audit Threshold. If Developer or a subcontractor receives an aggregate amount of federal financial assistance in a given fiscal year that exceeds the single audit threshold ($750,000), they are subject to the requirements in 2 CFR part 200 Subpart F, Audit Requirements, unless otherwise specified in program-specific guidance.
