Expense Records. Dimension shall maintain complete and accurate books, records and accounts used for the determination of all costs and expenses incurred in connection with the performance of its obligations under the Research Plan and in accordance with the Research Budget, in sufficient detail to confirm the accuracy of any payments required under this Agreement, which books, records and accounts will be retained by Dimension for […***…] after creation thereof, or longer as is required by applicable Law. Such books, records and accounts shall be kept in accordance with Dimension’s then-current accounting procedures. Bayer shall have the right, during normal business hours and upon reasonable advance notice, to review and copy all such records maintained by Dimension.
Expense Records. Manager shall maintain and keep accurate, complete, and current records relating to the calculation and payment of bills and assessments for services, supplies, and other expenses incurred in connection with the maintenance, operation, storage, supervision, and management of the Aircraft.
Expense Records. The Architect/Engineer shall maintain its direct personnel expense records, consultant expense records, and other expense records which pertain to the Project, as well as its record of accounts between the Architect and the Owner which pertain to the Project. These records shall be kept in a generally recognized and acceptable accounting basis. The records shall be available to the Owner or its authorized representatives, during regular business hours for inspection and copying. The Architect/Engineer shall maintain accurate time records, to within the nearest one half of an hour for each time entry for all work performed by the employees of the Architect/Engineer under this Agreement.
Expense Records. CONSULTANT shall keep adequate records and supporting documentation which concern or reflect its Services hereunder. The records and documentation shall be retained by CONSULTANT for a minimum of three (3) years from the date of termination of this Agreement or the date the Work Authorization is completed, or such longer period of time as may be required by this Agreement or law, whichever is later. Consultant agrees to keep and maintain all of its direct personnel expense records, consultant expense records and other expense records, pertaining to Continuing Service Projects, and its record of accounts between Consultant and School Board pertaining to Continuing Service Projects, on a general recognized and acceptable accounting basis, and the same shall be available to School Board or its authorized representatives at all reasonable times for inspection and copying. Consultant agrees to keep and maintain accurate time records to within the nearest half of an hour for each time entry, of all work performed by employees of Consultant, and same shall be available to School Board or its authorized representatives at all reasonable times for inspection and copying.
Expense Records. Each Party (an “Expense Incurring Party”) agrees to keep full, clear and accurate records for a period of at least [****] after the relevant report is made pursuant to Section 9.5(c) setting forth its incurred Development Expenses, Operating Expenses, Ongoing Development Expenses, Other Out-of-Pocket Costs in sufficient detail to enable compensation payable to the other Party (an “Expense Reimbursing Party”) hereunder to be determined. Each Expense Incurring Party further agrees to permit its books and records to be examined by an independent accounting firm selected by the Expense Reimbursing Party to verify reports made *Certain information on this page has been omitted and filed separately with the commission. Unless the Expense Reimbursing Party obtains the prior written consent of the Expense Incurring Party, such accounting firms must be selected from among the four largest U.S. accounting firms. Such audit shall not be performed more frequently that [****]. Such examination is to be made at the expense of the Expense Reimbursing Party, except in the event that the results of the audit reveal a discrepancy in favor of the Expense Incurring Party of [****] or more over the period being audited, in which case reasonable audit fees for such examination shall be paid by the Expense Incurring Party.

Consultant agrees to keep and maintain all of its direct personnel expense records, consultant expense records and other expense records, pertaining to Continuing Service Projects, and its record of accounts between Consultant and School Board pertaining to Continuing Service Projects, on a general recognized and acceptable accounting basis, and the same shall be available to School Board or its authorized representatives at all reasonable times for inspection and copying. The records and documentation shall be retained by Consultant for a minimum of three (3) years from the date of termination of this Agreement or the date the Task Authorization is completed, or such longer period of time as may be required by this Agreement or law, whichever is later. Consultant agrees to keep and maintain accurate time records to within the nearest one-tenth of an hour for each time entry, of all work performed by employees of Consultant, and same shall be available to School Board or its authorized representatives at all reasonable times for inspection and copying.
Expense Records. Sangamo shall maintain complete and accurate books, records and accounts used for the determination of FTEs and external expenses incurred in connection with the performance of the Services, in sufficient detail to confirm the accuracy of any payments required under this Agreement, which books, records and accounts will be retained by Sangamo for three years after creation of the individual records, or longer as is required by applicable law. Such books, records and accounts shall be kept in accordance with U.S. GAAP and Sangamo’s then-current accounting procedures. For the avoidance of doubt, if Sangamo’s then-current accounting procedures are not U.S. GAAP compliant, then Sangamo shall alter its accounting procedures such that they are U.S. GAAP compliant.
Expense Records. CONTRACTOR shall maintain and provide to DECORA detailed Transportation Expense records for each DESIGNATED LOCATION. CONTRACTOR shall provide DECORA with unaudited monthly reports of such expenses. Such records shall, to the extent reasonably practicable, be made available to DECORA, including, but not limited to, for use in preparing and reviewing the Annual Transportation Rate Schedule for the coming year. The CONTRACTOR shall cooperate to enable DECORA to conduct an audit (using DECORA'S internal auditors) of the foregoing, and at DECORA'S request and expense CONTRACTOR shall provide access to its expense records to an independent certified public accountant to conduct an audit of the same.
Expense Records. All costs incurred by Access Manager shall be supported by properly executed payrolls, time records, receipts, invoices, vouchers or other official documentation for all expenses over Five Hundred Dollars ($500), as evidence of the nature and propriety of the charges. All accounting documents pertaining in whole or in part to this Agreement shall be clearly identified and readily accessible. Access Manager shall submit any or all of the foregoing invoices and documentation to the City, upon request, and the City shall have the right to audit the records of the Access Manager as they relate to the work, upon reasonable notice. The Access Manager shall also:
(A) Maintain an effective system of internal control over and accountability for all funds and property supplied and make sure the same are used solely for authorized purposes.
(B) Keep a continuing record of all disbursement by date, check number, amount, vendor, description of items purchased and line item from which money was expended, as reflected in the Access Manager’s accounting records. The line item notations must be substantiated by a receipt, invoice marked "Paid," or payroll record.
(C) Keep all receipts, purchase orders, payroll records, or vouchers which document the expenses claimed for expenses over Five Hundred Dollars ($500) for a period of three (3) years after receipt of payment under this Agreement; provided, that any records and documents that are the subject of audit findings shall be retained for a longer time until such audit findings are resolved.
(D) Maintain payroll and financial records for a period of seven (7) years after receipt of final payment under the Agreement.
(E) Permit inspection and audit of its records with respect to all matters authorized by this Agreement by representatives of the City, its designated agent, or the State Auditor, and at any time during normal business hours and as often as necessary.
(F) Repay to the City any funds in its possession or control that may be due to the City at the time it is notified that Access Manager has been replaced as the Designated Public Access Manager or upon the termination of this Agreement.
(G) Provide the Internal Revenue Service with appropriate and timely information regarding employee and/or Access Manager earnings.

Consultant agrees to keep and maintain all of its direct personnel expense records, consultant expense records and other expense records, pertaining to Continuing Service Projects, and its record of accounts between Consultant and School Board pertaining to Continuing Service Projects, on a generally recognized and acceptable accounting basis, and the same shall be available to School Board or its authorized representatives at all reasonable times for inspection and copying at the offices of Consultant in which such records are kept in the ordinary course of business, or at any other mutually agreeable location. Consultant agrees to keep and maintain accurate time records to within the nearest half of an hour for each time entry, of all work performed by employees of Consultant, and same shall be available to School Board or its authorized representative’s at all reasonable times for inspection and copying.
