The execution and delivery by the Survivor of this Agreement and any Related Agreements to which the Survivor is a party and the consummation by the Survivor of the transactions contemplated hereby and thereby have been duly authorized by all necessary corporate action on the part of the Survivor and no further action is required on the part of the Survivor to authorize the Agreement and any Related Agreements to which it is a party and the transactions contemplated hereby and thereby, subject only to the approval of this Agreement and the transactions contemplated hereby by the Stockholders. This Agreement and the transactions contemplated hereby have been unanimously approved by the Board of Directors of the Survivor.
