Authorised Persons. 13.1 You may appoint one or more people (identified on the Application Form) as Authorised Persons, provided that such person must be acceptable to us in our discretion. If you wish to revoke the authority of an Authorised Person, you must tell us in writing. 13.2 You agree and understand that: a. an Authorised Person may be restricted from providing instructions in relation to particular Services; b. we may act upon the instructions of any Authorised Person, to the extent those instructions are not inconsistent with the restrictions referred to in clause 13.2(a); and c. we may provide Account information in response to a request from an Authorised Person, without the necessity to check the authority of that Person. We may, however, require written instructions from you, in which case we are not required to act upon the Authorised Person’s instruction. 13.3 If we reasonably believe that a Person who makes a request for information, or provides instructions, is your Authorised Person, we are not liable for any action, non-action or response in relation to this request (except to the extent resulting from or caused by our negligence, fraud or dishonesty). 13.4 If there is more than one Authorised Person, we may act on the instructions of any Authorised Person severally. 13.5 You agree that if any of your Authorised Persons breach the JBWere Multi-Asset Platform Agreement or an Additional Service Agreement: a. the breach will be attributed to you as principal; b. we have the same rights and remedies as we would if you had personally committed the breach, and c. where we can take action against the Authorised Person, we do not need to do so before exercising the rights granted in this clause against you. 13.6 Authorised Persons are not able to appoint or remove other Authorised Persons. 13.7 Subject to the restrictions referred to in clause 13.2(a), this clause 13 applies to any instruction given to us in relation to a Service. You agree to ensure that your Authorised Person reads and understands the terms and conditions governing the Services. 13.8 Subject to the restrictions in clause 13.2(a), you agree that if you have appointed an Authorised Person to deal on your behalf in relation to a Service then you: a. must ensure that any Authorised Person you appoint has the knowledge and experience required to provide instructions; and b. accept responsibility for your Authorised Person’s instructions. 13.9 Subject to the IDPS Contract (if applicable), we reserve the right to refuse to respond to a request for information, or refuse to accept any instruction or order given by your Authorised Person in our absolute discretion, for any reason.

For the instructions avoidance of doubt, the Financial Adviser Firm is liable for the acts and/or omissions of the ReAssure Now Administrator and any ReAssure Now Users registered by the ReAssure Now Administrator, including those whose permission to access or use ReAssure Now has ended or been withdrawn or suspended. The Financial Adviser Firm is also liable for the acts and/or omissions of any Authorised Person, individuals who it allows to the extent those instructions are not inconsistent with the restrictions referred access ReAssure Now due to in clause 13.2(a); and
c. we may provide Account information in response to a request from an Authorised Person, without the necessity to check the authority of that Person. We may, however, require written instructions from you, in which case we are not required to act upon the Authorised Person’s instruction.
13.3 If we reasonably believe that a (or the ReAssure Now Administrator and/or any ReAssure Now Users) negligence or in breach of this Agreement. The Authorised Person who makes a request for information, or provides instructions, is your Authorised Person, we are not liable for any action, non-action or response in relation to this request (except to the extent resulting from or caused by our negligence, fraud or dishonesty).
13.4 If there is more than one Authorised Person, we may act on the instructions will notify ReAssure immediately if it becomes aware of any Authorised Person severally.
13.5 You agree that breach of the provisions of this paragraph 2. The Financial Adviser Firm will take all such steps, at its own cost, as ReAssure may reasonably require it to take to remedy such breach. The Financial Adviser Firm is liable if customer data and relevant clients’ information made available in ReAssure Now or in any of your Authorised Persons breach electronic message is not used solely for the JBWere Multi-Asset Platform Agreement or an Additional Service Agreement:
a. purposes for which it is intended by the breach will be attributed to you as principal;
b. we have the same rights ReAssure Now Administrator and remedies as we would if you had personally committed the breach, and
c. where we can take action against the Authorised Person, we do not need to do so before exercising the rights granted in this clause against you.
13.6 Authorised Persons are not able to appoint or remove other Authorised Persons.
13.7 Subject to the restrictions referred to in clause 13.2(a), this clause 13 applies to any instruction given to us in relation to a ServiceReAssure Now Users. You agree to ensure that your Authorised Person reads and understands the terms and conditions governing the Services.
13.8 Subject to the restrictions in clause 13.2(a), you agree that if you have appointed an Authorised Person to deal on your behalf in relation to a Service then you:
a. The Financial Adviser Firm must ensure that the ReAssure Now Portal must not be used by Authorised Persons, ReAssure Now Administrators or ReAssure Now Users:
2.6.1 in any way that breaches any applicable laws or regulations;
2.6.2 in any way that is unlawful or fraudulent, or has any unlawful or fraudulent intent or effect; or
2.6.3 save as set out in clause 2.8 to reproduce or copy any of the Data or features of the ReAssure Now Portal (including but not limited to its code) in contravention of this Agreement. The Financial Adviser Firm shall be permitted to export the Data through the ReAssure Now Portal using the CSV download feature. The Data is pulled from the ReAssure Now Portal at regular intervals, as determined by ReAssure in its sole discretion. The Financial Adviser Firm shall be permitted to further analyse the Data, to combine the Data with its own data, and to use the Data for its internal purposes; provided, that it shall not publish any Data, save in respect to using the Data for the purposes of producing Client statements and/or preparing Client’s annual tax returns, which shall be permitted. The Financial Adviser Firm acknowledges and agrees that every download from the ReAssure Now Portal is at its own risk and that any and all resulting damages (including without limitation from loss of Data or damage to computer systems) is its sole responsibility. The Authorised Person you appoint has must nominate an individual to act as the knowledge ReAssure Now Administrator and experience required the Authorised Person shall ensure that such ReAssure Now Administrator is aware of their responsibilities and understands their obligations under, and complies with, this Agreement. The ReAssure Now Administrator may act for and on behalf of the Authorised Person and the Financial Adviser Firm. The ReAssure Now Administrator is responsible for creating and maintaining any additional online services accounts for any ReAssure Now Users from time to time. The Authorised Person must provide instructions; and
b. accept responsibility the full name and Business Contact Details (including a business mobile and landline telephone number, valid business email address and business address) for your the ReAssure Now Administrator and such other information that ReAssure may reasonably require to facilitate the registration of the ReAssure Now Administrator. For the avoidance of doubt, personal email addresses for the ReAssure Now Administrator will not be accepted by ReAssure. The Authorised PersonPerson must notify ReAssure using the designated contact number as soon as it becomes aware that for any reason the ReAssure Now Administrator’s instructions.
13.9 Subject access should be withdrawn. Should this occur, the Authorised Person will nominate and provide details of a replacement ReAssure Now Administrator in accordance with paragraph 4 below. The Authorised Person is responsible, on behalf of the Financial Adviser Firm, for confirming any changes to the IDPS Contract (if applicable), we reserve ReAssure Now Administrator or the right to refuse to respond to a request for information, or refuse to accept any instruction or order given by your ReAssure Now Administrator’s Business Contact Details. The Authorised Person must notify ReAssure using the designated contact number as soon as it becomes aware that it is no longer responsible for nominating the ReAssure Now Administrator. The Authorised Person must choose between different types of access to clients’ policy information available on ReAssure Now – Company and Individual, as explained in our absolute discretion, for any reasonthe Definitions. The type of access applies to all your Firm’s ReAssure Now users. You will need to contact us if you want to change it.
