Shareholder further understands and agrees that Shareholder is deemed to be an "affiliate" of Hayex xxxhin the meaning of the 1933 Act and, in particular, Rule 145 promulgated under the 1933 Act ("Rule 145"),

The undersigned has full power and authority to enter into, execute, deliver and perform the undersigned's obligations under this Agreement, to make the representations, warranties and covenants herein contained and to perform the undersigned's obligations hereunder. The undersigned further understands and agrees that the undersigned may be deemed to be an "affiliate" of Flextronics within the meaning of Rule 405.

However, nothing contained herein shall be construed as an admission as to any Shareholder's status as an affiliate of Micron.
