Authority to Change the Form or Content of this Plan. No agent or employee of HPN is authorized to change the agreement or waive any of its provisions except as otherwise provided herein. Such changes can be made only through an amendment authorized and signed by an officer of HPN and Group and shall be effective only after being executed by a duly authorized representative of both parties. Such approval of Health Plan or the Group shall not be unreasonably withheld.

  • NOTICE OF THIRD PARTY CLAIMS Pursuant to Public Contract Code Section 9201, District shall provide Contractor timely notification of the receipt of any third-party claim relating to this Contract. District shall be entitled to recover its reasonable costs incurred in providing such notification.

  • Authority to Bind Contractor The signatory for the Contractor represents that he/she has been duly authorized to execute this Contract on behalf of the Contractor and has obtained all necessary or applicable approvals to make this Contract fully binding upon the Contractor when his/her signature is affixed, and accepted by the State.

  • AUTHORITY TO EXECUTE THIS AGREEMENT The person or persons executing this Agreement on behalf of CONSULTANT warrants and represents that he/she has the authority to execute this Agreement on behalf of the CONSULTANT and has the authority to bind CONSULTANT to the performance of its obligations hereunder.
