Authority to Enter into Contract. The Contractor represents and warrants that it has full authority to enter into the Contract and that it has not granted and will not grant any right or interest to any person or entity that might derogate, encumber or interfere with the rights granted to the State and the State Entity.

The undersigned person signing as an officer on behalf of the Operator, a party to this Contract, hereby warrants and represents that said person has actual authority to enter into this Contract on behalf of said Operator and to bind the same to this Contract, and, further, that said Operator has actual authority to enter into this Contract and that there are no restrictions or prohibitions contained in any article of incorporation or bylaws against entering into this Contract.
Authority to Enter into Contract. An executive agency may enter into a multiyear contract for the acquisition of property or serv- ices if—
(1) funds are available and obligated for the contract, for the full period of the contract or for the first fiscal year in which the contract is in effect, and for the estimated costs associ- ated with a necessary termination of the con- tract; and
(2) the executive agency determines that—
(A) the need for the property or services is reasonably firm and continuing over the pe- riod of the contract; and
(B) a multiyear contract will serve the best interests of the Federal Government by encouraging full and open competition or promoting economy in administration, per- formance, and operation of the agency’s pro- grams.
