Authority Under Applicable Law Clause Samples
The 'Authority Under Applicable Law' clause establishes that each party entering into the agreement has the legal power and capacity to do so under the laws that govern them. In practice, this means that the individuals or entities signing the contract confirm they are authorized to bind their respective organizations or themselves, and that no legal restrictions prevent them from fulfilling the contract's obligations. This clause is essential for ensuring the enforceability of the agreement and protecting parties from claims that a contract is invalid due to lack of proper authority.
