Common use of Authorization and Enforcement of Obligations Clause in Contracts

Authorization and Enforcement of Obligations. Such Party (a) has the requisite power and authority and the legal right to enter into this License Agreement and to perform its obligations hereunder; and (b) has taken all requisite action on its part to authorize the execution and delivery of this License Agreement and the performance of its obligations hereunder. This License Agreement has been duly executed and delivered on behalf of such Party, and constitutes a legal, valid, binding obligation, enforceable against such Party in accordance with its terms.

Authorization and Enforcement of Obligations. Such Party party (a) has the requisite corporate power and authority and the legal right to enter into this License Agreement and to perform its obligations hereunder; license agreements and (b) has taken all requisite action on actions necessary under its part governing documents and policies to authorize the execution and delivery of execute this License Agreement and the performance of its obligations hereunderlicense agreement. This License Agreement has been duly executed and delivered on behalf of such Partyparty as required by its governing documents and policies, and constitutes a legal, valid, legally binding obligation, enforceable against such Party party in accordance with its terms.

Such Party Party: (ai) has the requisite power and authority and the legal right to enter into this License Agreement and to perform its obligations hereunder; , (ii) has the requisite resources and expertise to perform its obligations hereunder and (biii) has taken all requisite action on its part to authorize the execution and delivery of this License Agreement and the performance of its obligations hereunder. This License Agreement has been duly executed and delivered on behalf of such Party, and constitutes a legal, valid, binding obligation, enforceable against such Party in accordance with its terms.

This License Agreement has been duly executed and delivered on behalf of such Party, and constitutes a legal, valid, binding obligation, enforceable against such Party in accordance with its terms.

This License Supply Agreement has been duly executed and delivered on behalf of such Party, and constitutes a legal, valid, binding obligation, enforceable against such Party in accordance with its terms.

Such Party Party: (ai) has the requisite power and authority and the legal right to enter into this License Agreement and to perform its obligations hereunder; and grant the rights granted by it hereunder and (bii) has taken all requisite action on its part to authorize the execution and delivery of this License Agreement and the performance of its obligations hereunder. This License Agreement has been duly executed and delivered on behalf of such Party, and constitutes a legal, valid, binding obligation, enforceable against such Party in accordance with its terms.
