Authorization and Purpose of Bonds. The Authority has reviewed all proceedings heretofore taken relative to the authorization of the Bonds and has found, as a result of such review, and hereby finds and determines that all things, conditions, and acts required by law to exist, happen and be performed precedent to and in the issuance of the Bonds do exist, have happened and have been performed in due time, form and manner as required by law, and the Authority is now authorized under the Bond Law and each and every requirement of law, to issue the Bonds in the manner and form provided in this Indenture. Accordingly, the Authority hereby authorizes the issuance of the Bonds pursuant to the Bond Law and this Indenture for the purpose of providing funds to pay for the District Bonds.

Authorization and Purpose of Bonds. The Bonds shall be designated “City of Piedmont Wildwood/Xxxxxxx Avenues Undergrounding Assessment District Limited Obligation Improvement Bonds, Series 2005-A,” shall be in the aggregate principal amount of $ , and shall be issued by the City under and pursuant to the Act and under and pursuant hereto. The Bonds may contain or have endorsed thereon such other descriptive provisions, specifications and words not inconsistent with the provisions hereof as may be desirable or necessary to comply with custom or the rules of any securities exchange or commission or brokerage board or otherwise as may be determined by the City prior to the delivery thereof. The purpose for which the Bonds are to be issued is to provide funds to pay a prescribed portion of the costs and expenses of implementing the Undergrounding Project (including reimbursement of any funds advanced to or for the Assessment District), to fund the Reserve Fund for the Bonds, to fund capitalized interest, and to pay the costs of issuance for the Bonds, as more particularly described in the Final Engineer’s Report approved by the Council on May 23, 2005, as later modified by act.

Only such of the Bonds as shall bear thereon a certificate of authentication in the form set forth in Exhibit A, manually executed by the Bondowner Representative, shall be valid or obligatory for any purpose or entitled to the benefits of this Indenture and such certificate of the Bondowner Representative shall be conclusive evidence that the Bonds so authenticated have been duly authenticated and delivered hereunder and are entitled to the benefits of this Indenture.
