Authorizing Resolutions. Sellers shall deliver to Purchaser copies of the resolutions or consents of the managing members of each Seller authorizing the execution, delivery and performance of this Agreement by such Seller and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an officer of each Seller.
