Common use of Authorizing Resolutions Clause in Contracts

Authorizing Resolutions. Seller shall have furnished Buyer a copy, certified by an officer of Seller, of the duly adopted resolutions of the shareholders and the directors of Seller approving this Agreement and authorizing the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.

Authorizing Resolutions. Seller Buyer shall have furnished Buyer Seller a copy, certified by an officer a manager of SellerBuyer, of the duly adopted resolutions of the shareholders and the directors Board of Seller Directors of Buyer approving this Agreement and authorizing the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.

Seller shall have furnished Buyer a copydeliver to Purchaser copies of the resolutions or consents of the board of directors of Seller authorizing the execution, delivery and performance of this Agreement by Seller and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an officer of Seller, of the duly adopted resolutions of the shareholders and the directors of Seller approving this Agreement and authorizing the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.
