Common use of Availability of Personnel Clause in Contracts

Availability of Personnel. Each of the parties hereto shall afford, and shall cause their respective Affiliates to afford, to each other on a reasonable basis their respective personnel as necessary to permit the Company, as the case may be, to provide background information necessary to (i) prepare tax returns, (ii) prosecute Claims or (iii) investigate, defend against, or otherwise oppose any pending or threatened Claim against any party or any of such party's Affiliates, as the case may be, in each case, in connection with the Contributed Assets. The party affording its, or its Affiliates', personnel shall be reimbursed by the other party for its reasonable incremental out- of-pocket expenses of such personnel, but shall not charge any other fee to any other party hereto.
