Availability of Personnel. The Parties agree that Xxxxx’s duty to supply Personnel is subject to the availability of qualified Personnel. The failure of Maxim to provide Personnel shall not constitute a breach of this Agreement if the requested Personnel are not available. To the extent that Xxxxx is unable to provide the modality of Personnel requested by Customer, Xxxxx will provide Customer with a higher skilled Personnel. Maxim will bill Customer at that Personnel’s fair market value rate for the modality provided.
