B rokers. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Company or any of its Subsidiaries for which the Purchaser would be liable.

B rokers. Seller and Buyer each represent and warrant that no broker to whom a commission, fee or other compensation is payable is or has been involved in or brought about the transactions contemplated by this Agreement other than Divaris Real Estate Inc. (“Broker”) who represents Buyer. Seller shall pay a commission in the amount of Five Thousand Eight Hundred and 00/100 Dollars ($5,800.00) to Broker, which commission shall be payable by Seller out of the sales proceeds at Closing and shall be full and final payment by Seller of all amounts due to Broker as a result of the transactions contemplated in this Agreement. Buyer shall be solely responsible for paying any other party to whom a commission, fee or other compensation is due as a result of the transactions contemplated in this Agreement. To the extent permitted by applicable law, Buyer and Seller shall each indemnify, defend, and hold the others harmless from any and all claims, obligations, liabilities, costs or expense (including reasonable attorneys' fees) incurred as a result of any claim for brokerage commissions, fees or other compensation by any person or entity who alleges having acted or dealt with the indemnifying party in connection with the Property or the transactions contemplated by this Agreement. The parties' obligations under this Section 25 shall survive the Closing and any termination of this Agreement.
B rokers. Except for PJT Partners LP and Xxxxxxxxx & Co., LLC, the fees and expenses of which will be paid by the Company on or prior to the Closing Date, no broker, finder, advi therewith, in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of the Company or any of its Subsidiaries.

  • INTRODUCING BROKERS In the situation where you have been introduced to us by an introducing broker, you consent to us exchanging information with that introducing broker for the purposes of this clause 28. You may withdraw your consent by advising us accordingly in writing.
